Overview:
SRS Distribution is looking for a critical thinking articulate accountant to join the Transaction Services this role you will primarily be responsible for conducting financial due diligence on the buy side reporting and providing insight to stakeholders as well as contributing to the preparation of post-closing requirements. Key Responsibilities:
- Perform buy-side financial diligence providing comfort on seller reported revenue gross profit operating expenses and EBITDA
- Ability to quickly obtain trust from sellers in terms of confidence and competency related to the financial due diligence process objectives and overall business acumen
- Assess and report on adjustments to reported results for one-time non-recurring or incorrectly categorized items (Adjusted Revenue and EBITDA)
- Analyze working capital trends and determine working capital target for seller within the purchase agreement
- Determine and communicate proforma adjustments to provide insight on results reported on a go forward basis post transaction (Proforma Adjusted Revenue and EBITDA)
- Provide insight for associates on valuable insights discovered through the QOE process such as customer concentration and credit risks
- Oversee planning and execution of accounting related closing weekend tasks and attend as necessary
- Assist in the compilation and preparation of post-closing requirements for example the closing working capital statement and related purchase price adjustment
Minimum Years of Work Experience:
- 5 years of relevant experience including 2-3 years in a management role.
Minimum Qualifications:
- 5 years of dedicated experience in Transaction Advisory Services within a top CPA firm or in a Corporate Development/Internal M&A role with a high-growth acquisition-focused company.
- Ability to interact and build trust with external owners and internal executives.
- Experience in U.S. GAAP M&A transaction mechanics and complex financial analysis (QoE Working Capital items).
- Strong proficiency in data consolidation analysis and presentation.
Minimum Education:
- Bachelors degree in accounting or finance with semester hours completed to be CPA eligible
Certifications:
- CPA designation preferred.
