Vanguards Office of the General Counsel addresses a wide range of complex and compelling legal and compliance issues. To continue to support its growing business Vanguard is seeking a Senior Counsel for Finance Legal who will offer legal guidance on banking and treasury activities and support corporate and commercial transactions for the enterprise.
Responsibilities:
Draft negotiate and advise on various types of procurement contracts primarily but not exclusively in support of our corporate and fund treasury functions including agreements related to hosted services professional services IT procurement licenses other cloud-based products and services purchased by Vanguard.
Structure draft and negotiate managed services and outsourcing arrangements supporting the fund ecosystem ensuring compliance with regulatory requirements and alignment with Vanguards risk management standards.
Draft and negotiate third-party debt agreements credit facilities and related documentation.
Provide guidance on structuring global cash management solutions intercompany loans and funding arrangements.
Provide legal support for general corporate matters including advising on domestic and international intercompany transactions.
Help develop and revise internal policies for banking and treasury activities.
Coordinate and collaborate with subject matter experts within the Office of the General Counsel to seek input on SEC and FINRA compliance IT Privacy HR Tax Litigation and International Legal requirements to determine legal and regulatory requirements that impact Vanguards commercial and corporate transactions.
Serve as a legal advisor for various teams within Vanguards Finance Division.
Stay abreast of industry and regulatory developments affecting Vanguard and maintain affiliations with relevant industry compliance and risk associations.
Maintain a high level of expertise in transactional law Vanguards business and products and the investment industry.
Qualifications:
Minimum four years relevant professional experience with knowledge of corporate law and in-house or law firm exposure to corporate and commercial transactions.
Law degree (JD) with active bar membership required.
In-house experience preferred but not required.
Demonstrated ability to influence senior stakeholders and deliver business-focused solutions in a fast-paced innovative environment.
Exceptional communication negotiation and leadership skills.
Demonstrated track record of providing business-focused solutions that combine excellent judgment creativity awareness of risk and technical expertise.
