Job Summary

Overview

We are seeking a highly skilled and experienced Senior Corporate Counsel M&A to join our Legal team at Penguin Solutions an AI infrastructure company at the intersection of advanced compute data and systems innovation. This is a high-impact role with primary responsibility for leading and supporting the companys mergers acquisitions strategic investments and other transformative corporate transactions.

In this role you will report to the Head of Corporate Legal and work in close partnership with our Corporate Development team senior leadership and cross-functional stakeholders. You will play a central role in shaping the companys growth strategy by providing practical business-oriented legal guidance across the full transaction lifecycle in a fast-evolving AI infrastructure landscape.

Responsibilities

  • Serve as lead legal advisor on mergers acquisitions joint ventures strategic investments financings and other corporate transactions managing all stages of a transaction lifecycle including deal structuring negotiation due diligence execution and post-deal integration
  • Draft review and negotiate transaction documents including letters of intent definitive agreements and ancillary documents with an emphasis on efficient risk-balanced deal execution
  • Provide strategic business-oriented legal advice to senior management and other internal stakeholders regarding M&A strategy transaction risk and execution in a public-company environment
  • Partner closely with Corporate Development and cross-functional teams (Finance Tax HR IT and Operations) on transaction planning integration and post-closing matters
  • Advise on legal and regulatory issues that may impact transactions including securities law antitrust data privacy and global compliance considerations
  • Support corporate governance and subsidiary management matters for domestic and international entities including entity formation maintenance and dissolution
  • Manage and oversee outside counsel ensuring high-quality cost-effective legal support aligned with business objectives
  • Provide support on other corporate matters as needed with M&A and strategic transactions as the primary focus

Qualifications

  • J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction (California preferred but not required)
  • 7 years of relevant legal experience including substantial training at a leading law firm and meaningful experience in an in-house role
  • Experience advising on M&A and strategic investments at a U.S. public company or a comparably complex late-stage private company environment
  • Experience with entity management for domestic and international subsidiaries strongly preferred
  • Experience in the technology sector including AI infrastructure data center semiconductor or adjacent industries strongly preferred
  • Excellent verbal and written communication skills with the ability to communicate complex legal concepts to non-legal stakeholders
  • Strong organizational skills and demonstrated ability to manage multiple complex matters simultaneously
  • Strong analytical skills attention to detail and sound business judgment
  • Practical collaborative mindset with a willingness to engage at strategic and execution levels
  • Positive attitude and good humor

Location

Our preference is for candidates who can work hybrid in our Fremont CA office or who are in the Pacific time zone but we will consider highly-qualified remote candidates anywhere in the United States.

Compensation & Benefits

The base pay range that the Company reasonably expects to pay for this position in the United States is $210000 - $230000; the pay ultimately offered may vary based on business considerations including job-related knowledge skills experience location and education.The position is bonus-eligible and there are medical dental and vision benefits available. There is a 401k saving plan and other benefits such as Paid Time Off Life Insurance and an Employee Assistance Plan. Eligible employees may also participate in the Companys equity or long-term incentive programs.
