THE ROLE We are seeking a Corporate Governance Counsel for a Financial Services Institution in Zurich Switzerland. The successful candidate will support the development and implementation of governance policies and frameworks across a diverse group of legal entities. The position also involves reviewing corporate documentation and providing legal input on key governance instruments such as articles of association and organizational rules. Fluency in English is essential for this role.
KEY RESPONSIBILITIES
Support the development and implementation of governance policies and frameworks across a diverse group of legal entities.
Contribute to the design and documentation of internal governance processes including meeting protocols approval workflows and signature authority guidelines.
Create and maintain governance tools such as templates internal policies and standard operating procedures to ensure consistency and efficiency.
Review corporate documentation and provide legal input on governance instruments such as articles of association and organizational rules.
Prepare legal notes and internal presentations on governance topics; deliver training or briefings to cross-functional teams as needed.
Collaborate with internal stakeholders on projects to streamline governance-related processes and enhance compliance oversight.
YOUR PROFILE
At least 5 years of relevant legal experience with a strong focus on corporate governance; experience within Switzerland or an international corporate group is highly valued.
Familiarity with legal entity management and governance structures across multiple jurisdictions.
A structured pragmatic approach to problem-solving with the ability to work independently and as part of a team.
Excellent communication and interpersonal skills with a strong sense of discretion and attention to detail.
Proficiency in Microsoft Office (particularly Word Excel and PowerPoint); experience with digital collaboration tools and AI-based platforms is a plus.
Fluency in English is required; additional fluency in German or Spanish is advantageous.
