Job Summary

Corporate Associate M&A

A nationally recognized law firm is seeking a mid-level Corporate Associate to join its Corporate practice group in Charlotte with a primary focus on mergers and acquisitions. This role offers the opportunity to work on a wide range of complex corporate transactions for both publicly traded and privately held companies including sponsor-backed and strategic deals.

The associate will be deeply involved in all phases of M&A transactions and will play a meaningful role in managing deal execution coordinating junior team members and interacting directly with clients. This position is ideal for an attorney who enjoys sophisticated deal work values collaboration and is looking to take on increased responsibility within a growing corporate practice.

Key Responsibilities:

  • Advise public and private companies on mergers acquisitions and other strategic corporate transactions
  • Draft and negotiate primary transaction documents and key ancillary agreements
  • Manage and oversee due diligence workstreams including coordination of junior associates
  • Review prepare and negotiate ancillary transaction documentation
  • Provide pragmatic business-oriented counsel to sponsor and strategic clients
  • Collaborate with colleagues across practices to support complex multi-disciplinary transactions
  • Participate in a variety of corporate transactional and general business matters

What Were Looking For:

  • 4 to 6 years of M&A experience with strong deal flow
  • Demonstrated experience independently managing junior associates
  • Experience overseeing and performing due diligence workstreams
  • Strong background drafting and negotiating transaction and ancillary documents
  • Solid business acumen and the ability to quickly understand complex business concepts
  • Excellent written and verbal communication skills
  • Strong time management and prioritization abilities
  • Willingness to ask questions learn and work collaboratively in a team-oriented environment
  • Regular in-office attendance required
  • Eligibility for North Carolina Bar admission preferred
