Office of COO Profile

The Office of the Chief Operating Officer (Office of COO) is responsible for overseeing MSIMs day-to-day operational functions ensuring cross-functional collaboration between Morgan Stanley MSIM and support areas (e.g. Finance Legal) to meet our strategic goals.

Team Profile

The remit of the International Product Development & Management and Board Governance Team is to (i) design develop and through active post-launch product management maintain products for MSIMs businesses outside of the United States and (ii) lead the governance framework of Fund Boards and affiliated Boards to support decision-making across all MSIMs investment funds in EMEA.

The Board Governance Team IM Private Side EMEA delivers on Board governance and defined aspects of investment structuring investment lifecycle regulatory reporting and associated technology focused on alternative investing.

Primary Responsibilities

Reporting to the Head of Board Governance IM Private Side EMEA:

  • Assist with the delivery of a governance service to Fund Boards providing support and advice to Directors on all aspects of corporate governance.

  • Assist with the oversight of delivery of a governance service to the Boards of affiliated legal entities.

  • Provide clarity across the organisation on the delegation of authority framework of Fund Boards.

  • Proactively manage the programme of Fund Board meetings.

  • Steer informational flow from colleagues at all levels while maintaining alignment between Fund Boards and internal teams.

  • Provide advice and support to external service providers on operational issues ensuring continuous improvement.

  • Advise on investment structures to meet internal board governance standards and protocols.

  • Enforce observance of agreed standards and protocols on the incorporation of new legal entities through affiliates or external service providers.

  • Assist on investment reviews and the orderly winding up of related issues.

  • Assist on preparation and delivery of entity governance sessions.

  • Assist with maintaining corporate information in Diligent Entities Boardvantage and other internal systems.

  • Support country-by-country scoping due diligence and annual reporting under FATCA and CRS (training will be provided).

The responsibilities listed are the core responsibilities in relation to this role. From time to time the role holder may be called upon to take on additional responsibilities as required to meet the objectives of their team and the wider organisation.

Travel requirements

Travel to Luxembourg or other European countries may be required for meetings from time to time.

Training

Training and supervision will be provided as it relates to FATCA and CRS and the usage of internal systems. The candidate is otherwise expected to be familiar with Diligent Entities. Experience with Boardvantage would be a plus.

Skills required

  • Excellent attention to detail and comfortable working in a small team environment.

  • Ability to manage delivery and execution of a wide range of tasks and initiatives concurrently.

  • Excellent written and verbal communication skills.

  • High level of analytics initiative resourcefulness and ability to demonstrate good business judgment.

  • Ability to work independently and effectively with professionals at all levels at Morgan Stanley and external parties.

  • Bachelors degree (legal preferred but others also considered) with previous experience working in the investment funds industry.

  • Knowledge and understanding of the European private asset funds and alternatives industry especially as it relates to fund governance and day-to-day investment lifecycle with a focus on Real Estate Infrastructure Private Credit and Private Equity investments.

  • Proficiency in drafting or reviewing minutes of meetings preferred.

  • Advanced knowledge of Excel would be a plus.
