Responsibilities:
Within our Transaction Advisory Services (TAS) business Transaction Tax Services professionals offer tax due diligence tax structuring and technical tax expertise to our clients across multiple jurisdictions in Europe the Middle East and Africa.
Lead both buy and sell-side tax due diligence engagements for transactions involving UK and EMEA entities.
Identify and analyze tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for acquisition disposition and restructuring of businesses
Identify and understand complex country local sales use and other tax issues through reading term sheets letters of intent purchase agreements tax returns and financial statements and to evaluate the business financial and accounting implications of such tax issues as they relate to specific transactions
Identify post-acquisition steps to achieve anticipated earnings/cash flow improvements
Assist clients in identifying pre and post-acquisition transaction issues
Identify new business opportunities and develop long-term business relationships
Identify cross-marketing opportunities within and across Kroll practice areas
Manage and contribute to the report-writing process
Requirements:
Minimum of 10 years related work experience (a minimum of 5 years of relevant experience in M&A tax due diligence deal structuring and post-acquisition planning) within UK and/or EMEA markets.
Bachelors or Masters degree in accounting MST or JD/LLM
Professional qualification such as ACA CTA ACCA or equivalent are advantageous.
Superior analytical and problem solving skills
Proven ability to lead complex multi-jurisdictional tax engagements and manage teams in a matrixed environment.
Demonstrated interpersonal communication marketing sales and organizational skills
Demonstrated proficiency in Microsoft Office with focus on Word and Excel
