Are you an ambitious corporate lawyer looking to join a City-led international firms expanding Manchester practice Our client is seeking an experienced Corporate Associate to join their high-performing national and growing regional team advising clients on a diverse range of corporate matters with a main focus on private company M&A. As a Corporate Associate youll be based in the Manchester team working closely with the Corporate partner and the wider national corporate and commercial teams. Youll advise both regional and national clients operating in a variety of sectors on a diverse range of corporate matters with excellent support from specialists across banking tax commercial data and privacy employment and intellectual property.

Your Responsibilities Will Include:
Private Company M&A: Advising on private company acquisitions and disposals including both share and business/asset deals
Corporate Reorganisations: Advising on private company reorganisations intra-group transfers and succession planning/exits
Corporate Structures: Setting up corporate structures preparing shareholders agreements/investment agreements and advising on structuring and investment arrangements
Joint Ventures: Advising on joint venture arrangements and documentation
General Corporate Matters: Advising on general corporate matters including share buy-backs distributions and corporate governance
Day-to-Day Advice: Advising on ad hoc day-to-day corporate queries from clients
Client Relationship Management: Initiating building and maintaining effective client relationships
Business Development: Pro-active participation in department and firm-wide marketing initiatives
File Management: Managing files independently with appropriate supervision

Essential Requirements:
Qualified solicitor with 2-4 years post-qualification experience
Directly relevant post-qualification experience gained at a recognised and busy corporate practice
Excellent technical skills and innovative approach to their application
Proven ability to manage files independently with appropriate supervision
Strong commercial awareness and client focus
Drive enthusiasm and vision
Flexibility and can-do approach
Excellent communication skills with a collaborative approach
Demonstrable passion for business development
Desirable Attributes:
Strong experience in private company M&A (share and asset deals)
Track record in corporate reorganisations and succession planning
Experience preparing shareholders agreements and investment documentation
Established client relationships or demonstrable business development success
Experience advising on joint ventures and corporate governance matters
Proactive approach to marketing initiatives and thought leadership
