About the team
PwC has thelargest dedicated SPA team in the UKand thebroadest international SPA network globally. This unique scale allows us to support clients seamlessly across borders and deliver market-leadingexpertisewherever deals take place.
Our teamadvisescorporateclientsprivate equityclientsand investment fundson the most value-critical aspects of SPAs including equity price negotiations and the drafting of key accounting provisions. Our work spanscompletion accounts locked box mechanisms leakage reviews earn-out provisions and disputesgiving clients the confidence to protect and create value at the decisive moments of a transaction.
As aDirector youwillplay aleadrole in steering negotiations influencing decision-makers and shaping outcomes that matter most to our clients.
Your role
You will take on a leadership position managing high-profile and complex SPA engagements while also contributing to the continued growth of our practice.
Key responsibilities include:
Client leadership: advising C-suite executives private equity investors and their advisers on complex SPA mechanisms and commercial negotiations.
Transactionexpertise: leading the review and drafting of SPA accounting provisions completion accounts leakage claims and disputes.
Project leadership: managing multiple high-value projects simultaneously ensuring quality timeliness and risk management.
Team leadership: coaching mentoring and developing junior colleagues building a strong pipeline of SPA specialists.
Business development: originating opportunitiesleadingpitches and building trusted relationships with clients and intermediaries.
Practice development: helping shape PwCs SPAmethodology tools and market positioning ensuring weremainthe market leader.

Whatwerelooking for
Essential:
ACA (or equivalent) qualification.
Significant experiencein Transaction Advisory / M&A with a focus on SPAor completion accounts work.
A proventrack recordofleading complex projects and advising at senior levels.
Strong commercial acumen with the ability toidentifykey value levers and negotiation tactics.
Experience inbusiness development client origination and practice growth.
Excellent written and verbal communication with the confidence to present to Boards and investors.
Strong analytical and excel skills.
Leadership skills: experience in managing coaching and inspiring teams.
Desirable:
Established external network across private equity corporates and intermediaries.
Experience in cross-border or multi-jurisdictional transactions.
