Commercial Counsel

We are seeking highly skilled Commercial Contract Lawyers with 8 to 16 years of experience to support our clients on part-time and full-time engagements. Our clients are some of the worlds largest and most influential companies in retail technology consumer goods and professional services. Successful candidates will gain valuable exposure to leading global companies across diverse industries and thrive in a dynamic collaborative team environment.

Responsibilities:

• Draft review and negotiate various commercial contracts such as vendor agreements supply agreements licensing agreements IT agreements SaaS agreements service agreements and non-disclosure agreements ensuring full compliance with applicable laws regulations and company policies.
• Provide informed advice on contract terms and conditions collaborating with external vendors customers and suppliers to reach favorable outcomes.
• Identify potential legal and business risks within commercial contracts and develop strategic solutions to mitigate these risks effectively.

Qualifications:

• Active membership in good standing with the Law Society of Ontario.
• A minimum of 2-8 years of experience practicing law with a specific focus on commercial contract drafting reviewing and negotiation preferably within an in-house environment.
• Demonstrated ability in creating contract templates and managing contract databases is considered an asset.
• Strong analytical skills and a meticulous eye for detail with an ability to work independently as well as part of a collaborative team.
• Marketing experience beneficial.
