Purpose of the role
As Company Secretarial Administrator you will provide comprehensive support to the Company Secretariat ensuring the Group and its subsidiaries meet governance legal and compliance obligations. This role also manages day-to-day administrative processes including KYC documentation and invoice handling.
You will be working with the Company Secretariat team Board members and senior managers and will have exposure to all business areas such as Finance Tax Treasury and Legal. It requires an organised and process-oriented individual with good attention to detail and excellent communication skills. This role would suit a pragmatic flexible individual who is interested in working in a fast paced and complex organisation.
Key Responsibilities
KYC / Due Diligence Support (c. 60%)
- Manage KYC requests from banks counterparties and service providers.
- Collate and prepare legal entity documentation for onboarding (e.g. certificates of incorporation structure charts ID documents etc).
- Maintain a library of up-to-date entity information and directors KYC records.
- Track expiry dates of key documents and proactively request updates.
- Support internal and external audits or reviews relating to entity compliance.
Invoice & Financial Admin Support (c. 20%)
- Process governance related invoices for approval and payment (e.g. Notary).
- Maintain invoice records and liaise with Finance for raising POs and ensure timely payments are made.
Company Secretarial & Governance Support (c. 20%)
- Maintain and keep up to date the Group structure chart.
- Support the coordination of board and committee meetings (agendas packs minutes).
- Schedule board and committee meetings (annual and ad-hoc as required)
- Assist with maintaining and updating statutory records for UK and overseas legal entities (e.g. registers of directors shareholders PSCs) using entity management software.
- Support the filing of statutory forms with Companies House (e.g. director changes confirmation statements share allotments).
- Coordinate signatures and documentation for corporate changes and transactions.
- Organising documentation to be Notarised and Apostilled.
Knowledge Skills and Experience Required
Essential:
- Previous experience in a governance legal or financial administrative role.
- An understanding of handling KYC or onboarding documentation.
- Competent with Microsoft Office and basic financial/invoicing systems.
Desirable:
- Experience using entity management software (e.g. Diligent Entities GEMS Blueprint).
- An understanding of corporate documentation and company structures.
- Familiarity with Companies House and standard UK company compliance requirements.
- Working knowledge of KYC/AML obligations.
- Previous exposure to group structures.
- Interest in a CGI (ICSA) qualification.
