The Legal Counsel will be responsible for overseeing all legal matters across corporate commercial compliance employment and regulatory functions. This role is critical in enabling SnapSofts continued international growth ensuring contractual integrity compliance with EU and US regulations intellectual property protection and risk mitigation.
As the first in-house legal hire the Legal Counsel will work closely with leadership and external legal partners to establish scalable legal frameworks supporting our commercial growth hiring expansion and corporate governance.

As we expand we seek a Legal Counsel to build and lead our in-house legal function ensuring compliance risk management and strategic legal support across jurisdictions.
Job requirements
Key Responsibilities
1. Commercial Contracts & Business Support
Draft review and negotiate a broad range of commercial agreements including:
Master Services Agreements (MSAs)
Statements of Work (SoWs)
Non-Disclosure Agreements (NDAs)
Partnership and vendor agreements
Provide pre-sales legal support ensuring favorable contract terms and risk mitigation.
Support subcontractor and vendor agreements balancing flexibility and compliance.
Advise on cross-border transactions between Hungary Germany the US and the EU.
2. Compliance & Regulatory Risk Management
Ensure GDPR SOC2 and global data protection compliance across customer engagements.
Oversee trade compliance export controls and industry-specific regulatory obligations.
Manage intellectual property (IP) strategy ensuring protection of proprietary technology.
Establish and maintain legal policies for corporate governance and ethics.
3. Employment & Labor Law
Advise the People & Culture team on employment law across multiple jurisdictions including:
Employee contracts and remote work policies.
Performance management and termination procedures.
Compliance with Hungarian German US and EU UAE labor laws.
Ensure seamless compliance as we scale across new geographies.
Manage employment disputes minimizing legal and reputational risks.
4. Intellectual Property (IP) & Technology Protection
Develop and enforce IP protection strategies for SnapSofts innovations and branding.
Manage trademark and copyright registrations in key markets.
Ensure software licensing compliance particularly in collaboration with AWS.
5. Risk Management & Dispute Resolution
Identify potential legal and contractual risks implementing proactive mitigation strategies.
Manage customer contract liabilities advising on risk allocation in deals.
Handle dispute resolution arbitration and legal claims management.
6. Corporate Governance & M&A Support
Ensure compliance with corporate governance requirements across Hungary Germany the US and the EU.
Support the CEO CFO and Board in corporate structuring and M&A due diligence.
Oversee shareholder agreements legal entity structuring and governance policies.
7. Equity & ESOP Compliance
Support the design and implementation of the ESOP plan ensuring legal compliance.
Advise on equity grants stock options and incentive plans in multiple jurisdictions.
Collaborate with the CFO on tax implications and regulatory filings.
Key Qualifications
Must-Have:
Law degree from an accredited university.
5 years of experience in corporate commercial or technology law.
Experience with contract negotiation corporate governance and employment law.
Deep knowledge of EU regulations particularly GDPR and employment law.
Ability to manage cross-border legal matters across Hungary Germany and the US.
Strong risk management mindset and business-oriented legal advice.
Fluent in English (C1/C2 level); Fluent in Hungarian (C1/C2 level)
Nice-to-Have:
Prior experience in a technology SaaS or professional services company.
Knowledge of cloud computing and software licensing agreements.
Exposure to M&A transactions and corporate structuring.
Familiarity with AWS ISV partnerships and tech-industry legal frameworks.
