Who We Are Looking For:
Terns Inc. is seeking an experienced and highly skilled Corporate Paralegal to join our Legal team. This individual will play a critical role in supporting the companys public company obligations and corporate governance functions. The ideal candidate will bring a strong understanding of public company legal operations exceptional attention to detail and a commitment to ethical excellence.

What Youll Do:- Support the Chief Legal Officer and the legal team in fulfilling public company legal and regulatory obligations including SEC filings Section 16 reporting corporate governance requirements and annual meeting administration.
- Assist with corporate governance and Board of Directors support including formatting of Board and committee materials maintaining corporate minute books and other materials and using Board governance platforms (e.g. Diligent).
- Collaborate cross-functionally with Finance Investor Relations and HR teams to manage document workflows and ensure timely legal input.
- Maintain and manage the companys entity management records including U.S. and international subsidiaries.
- Manage due diligence and data rooms for financing M&A and corporate partnerships.
- Develop and maintain corporate legal templates and standard operating procedures.
- Create and maintain organized secure legal records in legal databases.
- Prepare and execute NDAs and CDAs
- Track board approvals related to equity grants and corporate actions. Coordinate with internal stakeholders (Finance HR Legal) to ensure accurate equity records.
- Prepare and maintain accurate and timely Board of Directors and committee meeting minutes resolutions and consents. Coordinate logistics including agenda preparation distribution of materials document retention of minutes (agenda draft final) as well as tracking completeness of all documents.
- Provide general paralegal and administrative support to the legal team as needed including calendaring expense reporting and travel planning.
What Youll Bring to Our Team:- Minimum of 5 years of paralegal experience with a strong emphasis on public company and biotechnology legal operations.
- Experience and understanding of public company governance preparation of corporate disclosures and Board processes.
- Experience supporting a General Counsel/Chief Legal Officer/Corporate Secretary and Legal Department within a clinical-stage or commercial biotech company.
- Exceptional organizational and follow-up skills with the ability to manage multiple priorities with accuracy and efficiency.
- Advanced proficiency in:
- SharePoint (document management)
- PowerPoint (Board presentations and data summaries)
- Adobe Acrobat (Document handling and redlining)
- Diligent or similar Board governance platforms
- Excel (for tracking project work and budgets)
- High degree of professional integrity and unwavering ethical standards.
- Strong oral and written communication skills and the demonstrated ability to collaborate cross-functionally.
- Bachelors degree or Paralegal Certificate from an ABA-approved program.

The expected base pay for this full-time exempt position is $125 - 145K bonus equity benefits. At Terns our salary ranges are determined by role level and location. The ranges are subject to change and individual pay within that range can vary for several reasons including location skills/capabilities experience and available budget.
