Were seeking a seasoned corporate paralegal whose primary nonnegotiable strength is legal entity management. The paralegal will independently own the administration of our portfolio of U.S. and certain global subsidiariesstate filings formations foreign qualifications withdrawals/dissolutions organizational documents minute books and compliance calendaring. Separately the paralegal will collaborate with the corporate legal team on board support and public company work; prior experience in these areas is preferred but not required. This role reports directly to the Vice President & Associate General Counsel (Securities and Corporate Governance).
This position is in Irvine California and has the opportunity for hybrid work with 1-2 days remote per week.
Your role:
Legal Entity Management & Corporate Governance (Core must have prior experience)
Independently manage U.S. entity maintenance and corporate housekeeping: formations foreign qualifications withdrawals dissolutions name changes conversions internal mergers and DBAs; prepare resolutions written consents officer/secretary/incumbency certificates and maintain minute books
Coordinate with local counsel for non-U.S. entity maintenance and documentation as needed
Run the entity compliance calendar; track and file annual reports/franchise tax and related statelevel obligations; coordinate with the registered agent and manage evidence of filings
Maintain the subsidiary list and entity database; ensure accuracy of directors/officers signatories and organizational charts
Triage requests and inquiries regarding know-your-customer (KYC) ultimate beneficial owner (UBO) signing authority good standing apostille/legalization and banking documentation keeping supporting records current
Support internal restructuring activities and postM&A integrations in partnership with tax treasury and finance departments
Board and Stockholder Meetings (Can be trained if no prior experience)
Help prepare or review agendas resolutions and minutes for meetings of the Board of Directors and its committees; compile/distribute materials via online board portal
Assist with Annual Stockholder Meeting logistics and vendor coordination
Public Company / Securities (Can be trained if no prior experience)
Prepare and file Section 16 filings (Forms 3/4/5)
Assist with preparing and reviewing portions of common SEC filings (e.g. 8-K 10-K 10-Q Proxy Statement)
Projectmanage calendars draft updates and proof content for the Proxy Statement
General Corporate (Can be trained if no prior experience)
Administer due diligence and virtual data rooms for capital markets or M&A transactions; coordinate signatures and closing sets
Manage select legal billing and vendor matters
What you bring to the role:
5 years handson corporate entity management experience in a multientity multijurisdiction environment (law firm and/or inhouse) with demonstrated ability to own state filings and corporate housekeeping endtoend (see scope above) with minimal attorney supervision
Strong command of entity management software (CSC Navigator Diligent Entities or similar) and proficiency with registered agent workflows
Exceptional organization calendaring and attention to detail
Additional Preferred Qualifications
Publiccompany support (Section 16 proxy/disclosures) including EDGAR/filing tools
Experience administering a board portal (Diligent/Boardvantage) and coordinating board/committee materials
Paralegal certificate (ABAapproved program) and/or bachelors degree
California Notary Public (or willingness to obtain) for occasional notarizations/apostilles

The typical base pay range for this role across the U.S. is USD $93000.00 - $158100.00 per year.The ranges above reflect the potential annual base pay across the U.S. for all roles; the applicable base pay range will depend on the candidates primary work location pay grade and variable compensation plan. Individual base pay within each range depends on various factors in addition to primary work location such as complexity and responsibility of role job duties/requirements and relevant experience and skills. Base pay ranges are reviewed and typically updated each year. Offers are made within the base pay range applicable at the time of hire. New hires starting base pay generally falls in the bottom half (between the minimum and midpoint) of a pay range.
