Job Summary

Corporate and Securities Paralegal:

Shulman Rogers Business and Financial Services Department is seeking an experienced Corporate and Securities Paralegal. The ideal candidate will have a minimum of 4 years of experience working on business transactions and private securities offerings with a strong understanding of corporate/LLC laws and federal/state securities laws as well as experience with corporate governance and regulatory compliance matters.

Responsibilities:

Assist in efforts for M&A and other business transactions including organizing and managing data rooms due diligence reviews reviewing documents preparing transactional documents and closing checklists and assisting with the closing process.
Draft and review contracts agreements and other legal documents related to business transactions commercial contracts and corporate policies.
Prepare and submit federal and state blue sky filings in connection with securities offerings.
Conduct legal research and analysis on various business law issues including securities regulations corporate governance best practices and compliance requirements.

Required Skills:

Bachelors degree or equivalent experience required; paralegal certification preferred.
Minimum of 4 years of experience working as a business paralegal in a law firm or corporate legal department.
Strong knowledge of business law principles including entity formation business transactions corporate governance and securities laws and regulations.
Excellent organizational skills and attention to detail with the ability to manage multiple tasks and deadlines effectively.
