Your missions
As a Legal & Corporate Manager you will be responsible for managing Luxembourg-based companies. Your duties will include:
- Supervising with the suppport of your team the integration and setup of corporate structures.
- Lead mentor and develop junior and senior team members fostering a collaborative high-performing and client-focused culture.
- Review and negotiate a wide range of corporate and legal agreements including articles of association limited partnership agreements service agreements and shareholders agreements.
- Prepare review and oversee all corporate documentation for board and shareholder meetings ensuring timely filings with the Luxembourg Trade and Companies Register and other competent authorities.
- Manage the structuring incorporation and ongoing administration of Luxembourg investment vehicles including SIFs SICARs RAIFs SCSps and related general partners.
- Advise on corporate governance obligations applicable to PSFs and other regulated entities ensuring ongoing compliance
- Support the legal and regulatory responsibilities of fund entities under AIFMD AML/CFT SFDR and other applicable Luxembourg and EU regulatory frameworks.
- Provide legal advice and practical guidance to senior management and cross-functional teams across the organization.
- Lead and coordinate long-term legal projects including the drafting and enhancement of internal templates and the strategic review of contractual frameworks
Your ideal profile
- A degree in Law preferably in financial business or corporate law.
- 8 years of relevant experience and a proven track record in team leading or management.
- Excellent written and spoken English any other EU language is considered as an asset.
- Strong knowledge of Luxembourg corporate law and fund regulatory frameworks including AIFMD and the RAIF Law.
- Proven track record in managing client relationships and leading teams within a PSF AIFM or fiduciary environment.
- Excellent interpersonal skills and a strong ability to work in a team.
- Proactive with strong initiative and problem-solving abilities.
- Highly organized and methodical with the ability to prioritize tasks effectively.
