Primary Responsibilities:
Establish a centralized repository for storing software contracts including an inventory of key divestiture clauses for each contract.
Review contracts to ensure all documentation is current and includes all amendments as applicable.
Develop a comprehensive documented process for reviewing software contracts during M&A activities.
Ensure compliance with legal and corporate policies. Provide training and support to internal staff on the retrieval and review process.
Develop Templates and checklists for contract reviews.
Qualifications/Experience Needed:
Bachelors degree in law Business Administration or a related field.
Relevant certifications (e.g. Certified Commercial Contracts Manager).
Experience in a specific industry relevant to the organization (e.g. cybersecurity enterprise software).
Knowledge of Merger and Acquisition.
Effective oral/written communication skills (including software contract writing).
Preferred Qualifications:
Proven experience in contract writing and management preferably with a focus on software technology or intellectual property.
Understanding of contract law legal terminology and intellectual property rights related to software.
Familiarity with various software licensing models including proprietary open-source and cloud-based licenses.
Excellent written and verbal communication skills with the ability to articulate complex legal and technical information clearly and concisely.
Strong analytical and problem-solving skills with the ability to assess risks identify potential liabilities and develop solutions in a time-sensitive M&A environment.
Detail-oriented with exceptional organizational and time management skills to handle multiple contracts and deadlines.
Ability to work effectively in a team-oriented cross-functional environment.
Familiarity with contract management software (CLM) solutions and their application in M&A scenarios is a plus.
