Job Description

Senior M&A Attorney / Of Counsel
Location: Hybrid - Depending on case volume
Practice Area: Mergers & Acquisitions Private Equity Corporate Law
Class Years: 2015 or Of Counsel Level

Overview:
Our client a highly regarded law firm is seeking a senior attorney to advise corporate clients and private equity funds on complex transactions and general corporate matters. This role is ideal for an attorney with a strong M&A background a business development mindset and the ability to work with a high degree of autonomy while maintaining direct client contact.

Key Responsibilities:

  • Advise clients on acquisitions dispositions minority investments joint ventures and other strategic transactions.
  • Counsel on general corporate matters including corporate governance and compliance.
  • Manage all phases of M&A transactions from term sheet to closing.

  • Draft review and negotiate key transaction documents including purchase agreements shareholder agreements and other related contracts.
  • Collaborate with clients opposing counsel and internal teams to ensure smooth deal execution.
  • Build and maintain strong client relationships with an emphasis on business development and client retention.

Qualifications:

  • J.D. from an accredited law school; admitted to practice in Insert Jurisdiction(s).

  • Class year 2015 or already at Of Counsel level.

  • Significant experience leading M&A transactions and drafting transaction documents.

  • Solid understanding of corporate law market terms and deal structuring.

  • Proven ability to manage transactions independently and effectively.

  • Strong interpersonal skills entrepreneurial mindset and commitment to client service.
