Job Description
Location: Phnom Penh
Type: Permanent
Salary: USD 8-9k monthly
Description
Were looking for a principal legal partner to join our clients (a master developer based in Phnom Penh) in-house investments team. From JV/equity through private credit and structured finance you will architect structures negotiate documents end-to-end and ensure our fundraising and transactions are compliantly closed across target markets.
Core accountabilities
- Run transactions spanning equity JV/co-invest corporate/project facilities mezzanine notes and selective secondaries.
- Create and Manage LOIs/term sheets NDAs subscriptions JVAs/SHAs SPAs/APAs facility & security suites intercreditor/escrow.
- Oversee CDD/AML/KYC sanctions and investor onboarding (incl. side letters and information rights).
- Advise on private-placement/offer marketing rules in APAC US EU; enable compliant investor engagement with IR.
- Lead legal due diligence maintain CP/CS trackers and manage data rooms and closings.
- Select scope and steer external counsel; standardize positions across jurisdictions.
- Form/administer onshore/offshore SPVs corporate approvals and records.
- Create playbooks templates and fallbacks; deliver concise internal teach-ins.
- Collaborate with Investment Finance Treasury IR and senior leadership on risk-return choices.
Profile
- 8 years in leading private practice and/or in-house on the buy-side/real-assets; cross-border deal lead.
- Strong drafting/negotiation in English; confident with regulatory touchpoints and multiple closings at once.
- Proven SPV and governance know-how.
- Bonus: Funds/vehicles (VCC GP/LP) capital call logistics lender reporting; DFI/ECA ESG-linked or capital-markets instruments.
