The Opportunity

We are currently looking for a suitably experienced and motivated person to join our Corporate Department as Assistant Company Secretary where you will assist the General Counsel & Company Secretary to provide advice and manage ASX and corporate compliance obligations ESG reporting Board reporting administration of employee share plans other regulatory reporting and shareholder meeting requirements.

The role will be a part time or casual appointment to assist with excess workflow requirements when required. It is anticipated that the volume of work could vary from month to month as required to support business requirements.

Austal is open to discussing flexible working arrangements that meet applicants capacity and the needs of the business. This would include working remotely - in fact it is anticipated the bulk of the work will be able to be undertaken from home or elsewhere off site. Austal is also open to structuring the work arrangements to suit the successful candidate.

Whats involved

  • Support the Company Secretary with ASX and Corporations Act compliance.
  • Assist in coordinating Board meetings and preparing meeting materials.
  • Administer and manage employee share plan obligations.
  • Contribute to corporate reporting and governance including ESG reporting governance statements and materials for investor and proxy adviser engagement.
  • Perform other company secretarial duties as required.

Youll need

  • Minimum 6 years experience in a company secretarial role within an ASX-listed environment or in close support of the Company Secretary.
  • Strong understanding of ASX Listing Rules and relevant compliance requirements.
  • Knowledge of ESG and corporate governance reporting obligations.
  • Familiarity with proxy adviser engagement and stakeholder communications.
  • Experience with employee share plans and their administration.
  • Solid grasp of corporate governance principles for ASX-listed entities.
  • Understanding of shareholder meetings and related stakeholder engagement.
  • Commercial pragmatic approach to preparing corporate documentation.
  • Foundational knowledge of Corporations Law.
