Job Description:
The Chief Legal Officer (CLO) is responsible for overseeing the development and implementation of the organizations legal and risk management framework to identify assess manage and mitigate internal and external risks that could hinder business operations or strategic goals.
The CLO plays a critical role in protecting the organizations assets reputation and sustainability by promoting a proactive approach to legal risk compliance and governance. The CLO collaborates across departments to ensure that legal and risk considerations are embedded in all major business decisions.
The CLO leads the development of policies manages enterprise-wide legal and risk assessments and ensures adherence to regulatory standards. By championing a culture of risk awareness the CLO helps safeguard the organizations long-term stability and success.
Essential Functions:
- Developing and maintaining the organizations enterprise legal and risk management framework policies and procedures.
- Leading regular risk assessments across business units to identify and evaluate strategic operational financial legal and compliance risks.
- Establishing and maintaining risk registers and control frameworks that track exposures and define mitigation actions.
- Ensuring compliance with regulatory requirements industry standards and internal policies including those related to cybersecurity data privacy and financial reporting.
- Provides expert and strategic legal advisement to the board of directors CEO and other senior management.
- Oversees the work of the legal team and outside counsel.
- Negotiates writes and executes agreements and contracts on behalf of UofL Health.
- Collaborates with internal audit compliance finance HR and IT to ensure comprehensive legal and risk coverage and incident response planning.
- Advises on legal aspects of the organizations financing including assessing and advising on current and future business structures and legal entities.
- Oversees and advises on complex significant matters that cut across legal and related areas such as employment law mergers and acquisitions corporate governance and regulatory compliance.
- Staying current on emerging risks (e.g. regulatory environmental geopolitical cyber) and integrating insights into the risk management approach.

- Thorough knowledge and understanding in trends in health care especially legal risk and compliance trends.
- Exceptional interpersonal and relationship building skills required to initiate and develop productive working partnerships with all levels of management/ leadership and staff.

Additional Job Description:
Education:
- Juris Doctor degree from an accredited institution is required.
Experience:
- Ten (10) or more years of senior leadership experience in a legal context.
Certification:
Licensure:
- Must be eligible to practice law within the state of Kentucky.
