Job Description

Reporting to the Senior Vice-President General Counsel you will join a team of lawyers and contract specialists advising the businesspeople in regard to any legal matter arising in the course of business such as a project consisting in the provision of professional engineering services accompanying the project managers during the project execution and claims management.

In addition you will be involved in M&A transactions in both drafting and negotiating transaction documents as well as coordinating and supervising the work of outside counsel.

We offer a flexible hybrid work model that allows you to work from home or from one of CIMAs offices across Canada depending on your preference.

Main responsibilities:

  • By using your professional experience legal training and business acumen you will review contracts identify and communicate risks to project leadership and work with them to find practical solutions to resolve contract issues on a wide variety of projects in assigned business lines.
  • Provide legal support on M&A initiatives.
  • Draft and negotiate M&A transaction documents and supervise and coordinate the work of external counsel where needed.
  • You will remain current on developments in the law which may impact the delivery of projects in your assigned business line.
  • You will critically review scopes of service and commercial terms and can appreciate and communicate nuanced legal and commercial risk associated with such terms.
  • You will lead negotiations with clients and develop and implement strategy for the team.
  • You will advise on processes and actions to mitigate legal and project risk.
  • You will provide legal opinions on contract terms.
  • You will continuously develop and improve upon contracting processes resources and precedents.
  • Provide strategic direction to the businesspeople and outside counsel in the management of claims.

Qualifications :

  • To qualify for this role you will possess a civil od common law degree and be admitted to a provincial bar in Canada. 
  • Minimum 5-8 years experience as a lawyer either in-house or with a top-tier law firm with a practice emphasis on commercial law and knowledge of M&A transactions.
  • Experience acquired as a lawyer assisting professional design services firms or in general construction law will be considered a strong asset.
  • You must possess exceptional written and verbal communications skills in the English language. French language is an important asset.
