TheVP of Legal and Complianceis a key member of CFOs management team serving as the strategic architect of the legal and compliance function and a trusted adviser to executive leadership. The successful candidate will oversee the legal landscape and manage the legal team lead the companys risk management and compliance processes and tools to meet the evolving needs of our customers employees shareholders and suppliers. The VP will also oversee our corporate legal structure supporting the various requirements in the countries where we operate.
Responsibilities:
- Oversee support and develop the Companys legal team policies and procedures.
- Administer the Companys legal infrastructure (European parent company and subsidiaries globally) including board and shareholder resolutions and various other requirements in accordance with good corporate governance practices.
- Oversee and enhance the companys risk management and compliance strategy around insurance personal data protection cyber security and business continuity.
- Support the Legal team taking an active part in contract review and approval.
- Provide legal support on IP international tax requirements including corporate taxation and transfer pricing immigration and other matters as the business requires.
- Provide legal support in company M&A and financing activities.
- Perform other duties as may be required consistent with the purpose of this role.
Qualifications :
- JD or its equivalent from an English American Canadian or EU accredited law school.
- 8 years of experience including 2 years of successful and proven leadership experience in a similar role in international environment.
- Experience applying international business contract IP tax corporate and common law in a global business environment.
- Extensive experience in drafting and reviewing legal documents.
- Strong negotiation skills and interpersonal effectiveness with the ability to influence build trust and support leadership as a strategic partner.
- Fluent in English (reading writing and speaking). Any other languages is a plus.
- Experience in professional services and/or IT-services business will be a plus.
