Kleinfelder has an exciting opportunity for an Assistant General Counsel.

JOB SUMMARY

The Assistant General Counsel plays a key role in the management of the Companys legal affairs providing strategic legal advice to the leadership team collaborating with business partners to achieve the Companys goals and objectives and helping to manage the legal department. Reporting directly to the General Counsel the Assistant General Counsel has primary responsibility for managing the contracting function within the organization and for reviewing and negotiating alternative delivery and other complex / high-value contracts. In addition the Assistant General Counsel will manage litigation matters develop litigation strategy and oversee outside counsel.

RESPONSIBILITIES

  • Review negotiate draft and advise on all forms of upstream and downstream contracts including but not limited to professional services agreements master services agreements design-build agreements joint-venture agreements and subconsulting agreements.
  • Serve as a primary resource and subject matter expert in the area of contracting and contract law providing support and guidance to the Companys attorneys contract specialists and project stakeholders and ensuring that contracts comply with the Companys policies and risk management objectives.
  • Lead initiatives to develop and implement enhancements to the Companys contract lifecycle management (CLM) platform.
  • Collaborate with project teams and business leaders to assess legal risk and to develop practical business minded solutions and mitigation strategies.
  • Work closely with the Companys Risk Mitigation Director and Insurance Manager to ensure comprehensive and effective risk mitigation and insurance programs.
  • Manage all phases of litigation arbitration and alternative dispute resolution proceedings including pre-litigation risk assessment development of case strategy and oversight and management of outside counsel.
  • Collaborate with and provide legal support to corporate services groups (e.g. safety finance IT and HR).
  • Develop and conduct training for business units on commercial contracting and risk management topics.
  • Assist with corporate governance matters including drafting of bylaws board resolutions and consents.
  • Support and assist with all areas of the Companys compliance programs including privacy data security and political contributions.
  • Assist with due diligence and provide legal support in connection with mergers and acquisitions.
  • Support the General Counsel as needed and perform such additional tasks as assigned.

EXPERIENCE & ACADEMIC REQUIREMENTS

Education: Juris Doctorate from ABA accredited law school and active membership in any state bar.

Experience: Minimum of 15 years of experience in construction law or a related field with a focus on contact negotiations risk management and resolution of claims/disputes including 4 to 8 years of relevant and progressive in-house legal experience with a minimum of 2 years in a senior leadership position. Must have experience with various forms of project delivery types including Progressive Design-Build Design-Build Design-Bid-Build CM/GC and PPP.
