Job Description

Exus Renewables North Americais a next-generation Independent Power Producer that develops owns and operates renewable energy assets (Wind Solar and Battery Storage) while providing world class asset management services for over 5 GW of renewable energy assets to third parties. Exus has a proven track record of constructing and commercializing renewable energy assets and they are building their portfolio by acquiring and building utility-scale renewables projects and guiding those still in development through to full operational status.

As part of Exus asset management business the firm undertakes full technical and commercial management of renewable energy portfolios worldwide. Exus draws on its wide-ranging expertise to optimize technical performance reduce financial risk and ensure long-term revenue certainty for their own and their clients renewable energy assets.


Exus is seeking a Corporate Paralegal that will be responsible for handling a broad range of corporate and transactional legal matters including but not limited to corporate governance entity formation & management organization & management of document repository contract compliance assistance with deliverables for project financings and reviewing NDAs.

Please note: this is an fully onsite role with 4 days in office 1 day remote with reasonable flexibility in our downtown NYC office.

Key Responsibilities:
  1. Prepare and maintain corporate records including board resolutions meeting minutes bylaws and charters.
  2. Assist with the formation dissolution and maintenance of subsidiaries and legal entities and updating of corporate structure chart.
  3. Manage and update the corporate entity management system.
  4. Assistance with preparation of real estate documents including but not limitedto leases easements and Memorandums to record.
  5. Assist in drafting reviewing and organizing contracts including NDAs vendor agreements and customer agreements.
  6. Coordinate and assist with renewable project acquisitions project financings and other corporate transactions including compiling KYC materials and drafting officer certificates resolutions and other closing deliverables.
  7. Maintain detailed records and organize project files.

Qualifications:
  1. Associate degree required in paralegal studies or related field; bachelors preferred.
  2. Paralegal certification from an ABA-approved program preferred.
  3. 3 years of corporate paralegal experience required preferably in a corporate legal department or law firm. Prior renewable energy environment highly preferred.
  4. Strong understanding of corporate governance and legal terminology.
  5. Ability to handle sensitive information with discretion.
  6. Renewable energy background a plus but not required.
  7. Notary Public designation preferred.

The salary range for this role is $80000-$95000 based on relevant experience & education.
