Job Description

INVESTMENT FUNDS ASSOCIATE ATTORNEY

REAL ESTATE INVESTMENT TRUSTS

Locations: Atlanta GA New York NY

Our client a prominent AmLaw 50 international firm is seeking a talented Associate Attorney to join their dynamic Investment Funds practice group in their Atlanta orNew York office. These roles offer a unique opportunity to work on sophisticated matters involving Real Estate Investment Trusts (REITs) and related public securities work with direct client engagement and substantial room for growth.

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Bar Admission in the relevant jurisdiction.

  • 2-6 years of substantive experience insecurities and/orinvestment funds law.

  • Experience advising clients on equity and mortgage REITs including both publicly traded and non-traded REIT structures.

  • Familiarity with public securities compliance and disclosure matters under the Securities Act of 1933 and the Securities Exchange Act of 1934.

  • Entrepreneurial mindset with a desire to contribute to the continued development of a high-growth practice area.

  • Excellent interpersonal analytical and drafting skills with a client-service focus.

Key Responsibilities:

  • Advise clients on the formation structuring and ongoing regulatory compliance of REITs and hybrid investment vehicles.

  • Handle securities law issues related to public offerings periodic reporting and disclosure obligations under the 1933 and 1934 Acts.

  • Support clients in executing complex investment fund transactions involving real estate and financial asset portfolios.

  • Draft and negotiate offering documents registration statements shareholder communications and related transactional materials.

  • Work closely with colleagues across corporate tax and real estate practices to deliver comprehensive legal counsel.

  • Build and maintain strong client relationships and support business development initiatives within the investment funds space.
