Roles and Responsibilities :
1. Assistance in Compliance & Regulatory Management
*Support in ensuring compliance with the Companies Act 2013 SEBI regulations and LODR (Listing Obligations & Disclosure Requirements).
*Assist the Compliance Officer in preparing and maintaining regulatory filings disclosures and related documentation.
*Keep track of updates in company law and stock exchange regulations and help implement relevant changes.
2. SME IPO Support & Listing Preparation
*Provide assistance in the SME IPO process by coordinating documentation and preparing draft filings under supervision.
*Liaise with professionals such as merchant bankers auditors and legal advisors for collecting data and resolving queries.
*Help in compiling offer documents due diligence checklists and preparing investor communication material.
3. Stock Exchange Filings & SEBI Compliance
*Assist in preparing event-based and periodic disclosures under SEBI and stock exchange requirements.
*Support implementation of insider trading policies including maintaining data for trading window closures.
*Help compile and submit financial statements shareholding data and resolutions to stock exchanges on time.
4. Corporate Governance & Secretarial Assistance
*Assist in organizing Board Meetings AGMs and EGMs including sending notices preparing agendas and drafting minutes under supervision.
*Maintain and update statutory registers corporate records and other compliance documents.
*Support the senior CS or management team with drafting policies and corporate governance documentation.
5. Client Coordination & Legal Documentation
*Support Companies Act compliance activities for client companies including routine ROC filings (MCA).
*Assist in drafting and maintaining contracts agreements and handling regulatory correspondence.
*Participate in basic financial/legal reviews or data analysis to support decision-making and compliance efforts.
6. Qualification & Experience
*Educational Qualification: CS Executive (CS Inter) Completed.
*Preferred Experience: Internship or work exposure in a CS firm listed company or involvement in SME IPO projects.
*Familiarity with MCA portal SEBI guidelines LODR requirements and preparation of compliance documentation.
