POSITION DESCRIPTION AND RESPONSIBILITIES

The Corporate Secretary/Paralegal supports the delivery of a wide range of clientfacing and administrative responsibilities. As a key contributor in the Corporate Secretarial team this role has diverse responsibilities from conducting KYC checks through to ATO and ASIC compliance reviews drafting company secretarial documents while remaining up to date with legislative and regulatory requirements and changes.

1 KEY SERVICE DELIVERY RESPONSIBILITIES

Key responsibilities of the role include:

1. Know Your Client (KYC)

Support KYC compliance checks for new clients prior to onboarding

Assess against compliance and regulatory standards

Identify and mitigate potential risks associated with client relationships

2. Compliance reviews

Assist in conducting annual client compliance reviews with respect to ATO and ASIC requirements

Conduct routine compliance reviews for both clients and their associated entities to assess ongoing compliance identify areas for improvement and implement corrective actions

3. Risk Management Framework

Implement and maintain ABN Australia s risk management framework collaborating with relevant stakeholders to maintain the risk register

Identify assess and mitigate regulatory and compliance risk

4. Incorporation Registrations and Corporate Secretarial services

Assist in the incorporation of client s Australian Pty Ltd Trust Formation Self Managed Super Fund Formations companies and registration of Foreign Registered Branches with ASIC

Assist in the provision of corporate secretarial services to clients; including:

o Preparation and filing of statutory forms

o Monitoring renewal of Annual Reviews filing of financial Statements and other ASIC filings for client companies

o General filing of Statutory Books and other documents

o Redirect client mail and other correspondence as appropriate

Update and maintain records in CAS360 Airtable Asana and other relevant system

Other tasks and duties as directed

Rolemodel and champion good governance and compliance practices within the organisation


Requirements

KEY PROFESSIONAL SKILLSETS REQUIRED

Minimum 2 years experience as a Legal Assistant Corporate Secretary or equivalent
Tertiary qualifications in Law/Legal Studies/Business Administration or a related field (or currently completing)
Other relevant qualifications/certifications are highly regarded (e.g. compliance/governance/AML etc.)
Strong working knowledge of Australian Corporate Law (Corporation Act 2001) and regulatory frameworks is desirable
Exceptional organizational and documentation skills with attention to detail
Strong time management skills and an ability to work effectively under pressure
Excellent written and verbal communication skills
Demonstrated understanding of compliance frameworks and best practice
A commitment to customer service confidentiality and continuous improvement
Experience in preparing and filing legal forms documentation and business registration processes.
