Job Description

GENERAL DESCRIPTION OF POSITION

The Staff Attorney is responsible for drafting commercial real estate and commercial and industrial (C&I) loan documents. This position collaborates with legal assistants with document preparation and other necessary tasks. The Staff Attorney conducts legal research and corresponds with outside counsel.

ESSENTIAL DUTIES AND RESPONSIBILITIES

1. Drafts reviews negotiates and advises regarding commercial real estate and C&I loan documents. This duty is performed daily about 40 of the time.
2. Supports the continuous improvement of standard form loan documents and related legal processes. This duty is performed daily about 15 of the time.

3. Advises lenders closers and processors regarding legal matters related to loan documentation. This duty is performed as needed about 25 of the time.
4. Drafts and updates the banks form loan documents. This duty is performed monthly about 5 of the time.
5. Corresponds with outside counsel and title companies regarding loan documentation matters. This duty is performed weekly about 10 of the time.
6. Conducts legal research and analysis as needed. This duty is performed as needed about 5 of the time.
7. The ability to work in a constant state of alertness and in a safe manner. This duty is performed daily.
8. Completes required BSA/AML training and other compliance training as assigned. This duty is performed quarterly.
9. Performs any other related duties as required or assigned.

QUALIFICATIONS

To perform this job successfully an individual must be able to perform each essential duty mentioned satisfactorily. The requirements listed below are representative of the knowledge skill and/or ability required.

EDUCATION AND EXPERIENCE

Professional degree (J.D. Ph.D. M.D. etc. plus 4 years related experience and/or training and 19 to 23 months related management experience or equivalent combination of education and experience.

COMMUNICATION SKILLS

Ability to read analyze and understand common scientific and technical journals financial reports and legal documents; ability to respond to complex or difficult inquiries or complaints from customers regulatory agencies or members of the business community. ability to write speeches and articles for publication that conform to prescribed style and format; ability to effectively present information to top management public groups and/or boards of directors.

MATHEMATICAL SKILLS

Ability to calculate figures and amounts such as discounts interest commissions proportions percentages area circumference and volume. Ability to apply concepts such as fractions ratios and proportions to practical situations.

CRITICAL THINKING SKILLS

Ability to define problems collect data establish facts and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.

REQUIRED CERTIFICATES LICENSES REGISTRATIONS

Juris Doctor (JD) degree required.

Advanced: Spreadsheet Word Processing/Typing

RESPONSIBILITY FOR WORK OF OTHERS

Carries out supervisory responsibilities in accordance with the organizations policies and applicable laws. Responsibilities may include but not limited to interviewing hiring and training employees; planning assigning and directing work; appraising performance rewarding and disciplining employees; addressing complaints and resolving problems.

Supervises a small group 13 of employees in the same or lower classification. Assigns and checks work; assists and instructs as required but performs same work as those supervised or closely related work most of the time. Content of the work supervised is of a nontechnical nature and does not vary in complexity to any great degree.

WORKING CONDITIONS

Normal working conditions as found within an office setting wherein there is controlled temperature and a low noise level plus a minimum of distractions.

The employee must occasionally lift and/or move up to 25 pounds; regularly lift and/or move up to 10 pounds. Specific vision abilities required by this job include close vision and color vision.

ADDITIONAL INFORMATION

Four 4 years of related experience and/or training
Nineteen 19 months of related legal document or contract management experience
Juris Doctor (JD) degree required
Must have proficient understanding of legal documents contracts and agreements and drafting experience
Must have a proven ability to be highly responsive and organized
Must be proficient legal and analytical skills and a businessoriented approach to problem solving
Must have excellent written and oral communication skills
Must have the ability to identify and process documents both hard copy and electronically
Must have the ability to manage multiple responsibilities simultaneously
Must have the ability to work in crossfunctional teams
Must have excellent organizational interpersonal communication and customer relation skills
