Contract Negotiator

Primary Function of Position:

The Contract Negotiator is key in Intuitives commercial contracting. As the main communicator the Contract Negotiator works with Intuitives salesforce leadership internal management over 10 departments and customers. This ensures legal compliance and reduces risk. The Contract Negotiator handles tasks like legal drafting negotiating and processing contracts. This is done professionally in a highpressure environment with tight deadlines.

Responsibilities:

1. Contract Drafting and Negotiation Prepare review and negotiate many complex contracts including commercial agreements for Intuitives products and services. Handle miscellaneous legal agreements related to Intuitives commercial activities. Act as legal manager for digital data and privacy agreements along with Business Associate Agreements under HIPAA.
2. Legal Research Stay updated on legal and regulatory developments in the medical device industry. Provide recommendations and guidance based on industry best practices including HIPAA and emerging trends.
3. Legal Representation Collaborate with internal stakeholders like business development product managers and executives. Understand business goals provide legal advice and negotiate favorable terms. Represent Intuitive Surgical with external parties including customers regulators and affiliates.
4. Risk Management Identify assess and support potential legal risks in contracts. Propose strategies and advice to mitigate them effectively. Manage risks and ensure compliance with laws regulations and company policies.
5. Compliance and Ethics Uphold ethical standards and ensure compliance with all applicable laws regulations and company policies in contract negotiations and daily activities.
6. Crossfunctional Collaboration Work closely with crossfunctional teams including regulatory affairs service department field service manufacturing and marketing. Ensure alignment between legal requirements and business goals. Review and assess new products before commercial launch. Draft and develop new legal or acquisition agreements to support those products.
7. Contract Lifecycle Management Manage the entire contract lifecycle from drafting to and termination. Ensure timely renewal amendments and compliance. Work closely with Intuitive Surgicals Legal Sales Customer Service Accounting and Logistics teams on the system sales process. Collaborate with Marketing Clinical Affairs and Market Access on further contractual activities.

Qualifications :

Required Knowledge Skills and Experience:

• Law degree (JD) from an accredited law school or equivalent legal experience.
• 2 years experience with commercial contracts or equivalent transferrable skillset from inhouse or law firm setting.
• Working knowledge of standard legal terms and conditions. Operational knowledge of commercial contracting terms HIPAA data security or data privacy regulations.
• Exceptional contract drafting and negotiation skills with a keen attention to detail preferably commercial terms and conditions.
• Exceptional interest in commercial transactions financial activities and business decisions. Ready and enthusiastic to work with a dynamic and energetic salesforce.
• Detailoriented organized and able to function in a fastpaced highpressure environment. Excellent problemsolving abilities and capacity to handle complex legal issues.
• Excellent verbal and written communication skills including legal drafting skills. Exceptional interpersonal skills to collaborate with crossfunctional teams and external stakeholders.
• Proactive problemsolver selfmotivated with an exceptional work ethic commitment to excellence and ability to work autonomously.
