Job Description
Our client the largest global provider of insurance annuities and employee benefit programs is seeking a Derivatives Attorney to support their team. This is a unique opportunity to experience the flexibility of the Axiom model for a sixmonth engagement that has significant potential for conversion/hiring to the client team.This role will require hybrid work at our clients office in Whippany NJ 23 days/week.
Responsibilities:
- Collaborate on derivatives negotiations.
- Prepare and negotiate ISDA Master Agreements VM and IM Credit Support Annexes IM Collateral Transfer Agreements and Security Agreements.
- Draft Custody Agreements and Account Control Agreements.
- Review and customize bespoke trade confirmations and terms.
- Review derivatives documentation in internal restructurings.
- Analyze collateral provisions in reinsurance structures including VA and UK longevity.
- Advise on hedging strategies for pension risk transfer transactions.
- Evaluate disclosure and investment management agreement provisions related to derivatives.
- Advise on all aspects of Title VII of DoddFrank and similar derivatives laws affecting MetLife affiliates engaged in derivatives activities.
Minimum Qualifications:
- 48 years of experience in drafting and negotiating derivatives documentation and agreements.
- Proven track record in coordinating and overseeing complex derivatives negotiations.
- Indepth understanding of ISDA protocols and derivatives regulatory requirements including DoddFrank Title VII.
- Familiarity with KYC AML compliance and onboarding processes.
- Excellent communication negotiation technology and problemsolving skills.
- Juris Doctor degree or equivalent and active license to practice law in a U.S. jurisdiction.
Preferred Qualifications:
- Experience with MSFTAs securities lending and/or repurchase agreements.
- Prior inhouse experience with insurance company investments or with an investment manager.
