Job Description for Company Secretarial
This senior leadership position plays a crucial role in overseeing the companys secretarial affairs audit functions and ensuring compliance with regulatory requirements and internal policies. Responsible for developing and implementing robust governance risk management and compliance frameworks to safeguard the interests of the company and its stakeholders.
Secretarial Affairs Management
  • Oversee all aspects of corporate governance including board and committee meetings resolutions and regulatory filings.
  • Managing administrative and secretarial functions within the organization such as
  • Maintaining corporate records organizing board meetings and ensuring compliance with
  • Provide guidance and support to the board of directors and senior management on corporate governance matters.
  • Ensure compliance with applicable laws regulations and corporate governance best practices.
  • Manage the companys corporate records including minutes resolutions and other legal documents.
  • Liaise with external legal counsel and regulatory authorities as needed.
Audit Oversight
The Head of Secretarial Affairs Audit and Compliance is responsible for overseeing the audit process including both internal and external audits. They ensure that audits are conducted efficiently accurately and in accordance with relevant standards and regulations
Compliance Management
Ensuring compliance with laws regulations and internal policies is a critical aspect of this
role. The head of this department is responsible for developing and implementing compliance programs monitoring compliance activities and providing guidance to ensure adherence to applicable laws and regulations.

Policy Development and Implementation
Developing and implementing policies and procedures related to governance audit and compliance is essential for maintaining organizational integrity and meeting regulatory requirements.
Training and Education
Educating employees about relevant laws regulations and compliance requirements is crucial for fostering a culture of compliance within the organization. The head of this department may be responsible for developing training programs and conducting educational sessions to ensure staff members understand their responsibilities
Reporting and Documentation
