The role will report to the Associate Vice President Legal International and is responsible for the general legal affairs relating to the LATAM Region. The role will form part of the LATAM Regional Leadership Team and will also require working with third party stakeholders including external counsels.
This position serves as an ambassador role and requires strong leadership to manage both routine and critical situations. The position is located in Brazil Sao Paulo and will require travel at least 25 of the time.
Support as a member of the international legal function the delivery of the following services:
- Support and assist day to day business operations of Allergan Aesthetics business unit
- Provide proactive legal advice in all areas of law and regulation with prioritization on Regional goals and objectives
- Manage legal risk and prevent legal issues
- Develop and maintain a range of legal templates and legal guidelines to share with nonlegal teams in the relevant territories to allow them to manage legal matters as far as possible. Ensure business units have access to practical clear and concise legal advice
- Provide support and legal assistance to functional programs in all areas of the Allergan Aesthetics business unit including corporate governance internal audit data protection regulatory inspections and audits incident management security and disaster recovery litigation reports
- Manage legal affairs relating to third party distributors with particular regards to the various existing and future organizational models
- Draft a various range of commercial contracts including but not limited to the supply marketing and commercialization of Allergan products
- Where needed act as a data protection officer and/or oversee all data protection related matters
- Assist on litigation matters
- Interact with and manage external counsels
- Manage in coordination with the International Legal function the legal budget for the region
- Advice on commercial policies and competition law related matters as appropriate
- Support the company secretary function
- Assist with mergers acquisition and following company integration projects
- Assist as needed the HR function for relevant employment law related matters
- Assist and support real estate projects and/or leasing of facilities
- Monitor anticipate and report changes to the applicable legislation that are of direct or indirect interest of the organization
- Assist on counterfeit and diverted product matters as needed
- Support business on commercial claims and disputes with competitors and/or other third parties with specific regards to the advertising and promotion of products
- Perform secondary IP work in coordination with Corporate IP Department and Legal International
Support the International Compliance function in delivering the Compliance Program as follows:
- Provide guidance and advice to the commercial teams working closely with the Compliance function to proactively supporting compliance projects and mitigate risk
- Support the Compliance function in Conducting ongoing risk assessment and/or due diligence of third parties in particular distributors in accordance with the applicable policies.
- Conduct routine and ad hoc reviews and resolve noted issues
- Support the Compliance function in the implementation and/or review of compliance policies procedures and standards
- Support the Compliance function in providing relevant engaging and interactive compliance training for Allergan employees and with Allergans business partners employees or agents as appropriate.
- Support the Compliance function in implementing the compliance monitoring program as from time to time applicable
People Management
- Lead manage develop the inhouse country lawyer across LATAM namely Brazil and Mexico
- Ensure goals and objectives are fully aligned to business
- Complete timely and in accordance with companys code of ethics policies procedures and SOPs all the administrative tasks relating to the employment status of the inhouse lawyer.
- In the case of need hire and build a topclass team of inhouse lawyers to support the LATAM Region.
General Administration
- Assist with the administration of the Legal International functions and complete all personal administration
Additional Job Responsibilities:
- Interface with Business (Sales Marketing R&D Medical) Personnel Support Functions (QA HR Finance IT Regulatory Supply Chain) and Senior and Executive Management
- Manage and oversee multiple complex projects
- Produce reports presentation materials guidelines documents and letters
- Delivery updates to Leadership on a regular basis as a permanent member of the LATAM leadership teams required
- Oversee and manage budget documentation records
Qualifications :
Qualifications
- Candidate shall be qualified as a solicitor or equivalent in one of the relevant jurisdictions
- Candidate shall be fluent in English and either Portuguese or Spanish any other language skills will be valued
- Employees shall not pose a direct threat or harm to property self or others.
- Employees must maintain confidentiality and adhere to company policies.
- Law degree from a relevant jurisdiction
- 10 years of relevant experience
- Experience in commercial law & agreements (with national and crossborder contracts)
- Experience and excellent knowledge in Life Science law in particular regarding pharmaceutical promotional matters
- Experience in Public Procurement Law National competition law Antibribery Law and Privacy
- Ethics & Compliance local requirements
- Basic knowledge of Administrative Law and Corporate Law and basic regulatory knowledge
