Job Description

We are seeking a seasoned and highly motivated Business and Transactions Attorney to join our Omaha office and overall practice area team. The ideal candidate will demonstrate an entrepreneurial spirit a curious and inquisitive mindset and exceptional attention to detail. This role involves providing strategic legal counsel to clients across a broad spectrum of industries related to business matters including risk management contract review governance mergers and acquisitions entity formation and compliance.

Key Responsibilities

  • Collaborate with clients to develop tailored legal strategies aligned with their business goals and needs through riskbased analysis and assessments.
  • Research and interpret applicable laws regulations and industry standards to ensure client compliance.
  • Draft review and negotiate a variety of agreements (such as contracts with customers vendors and other third parties) operating agreements ownership and equity agreements and employment agreements.
  • Advise clients on a range of corporate legal matters including entity selection and formation corporate governance and compliance.
  • Provide strategic legal guidance during mergers acquisitions divestitures and other transactions.
  • Manage multiple client matters simultaneously while maintaining highquality service and meeting deadlines.
  • Supervise paralegals staff and team members as required
  • Active in business development including involvement in professional organizations.
  • Other duties as assigned.

Experience

  • Minimum of 5 years of relevant inhouse and/or law firm experience as a business and transactional attorney 10 years experience preferred

License(s)/Certification(s)

  • Must be currently licensed in Nebraska or eligible to become licensed.
  • Other state licenses (especially in states within our footprint) while not required will be considered.
  • Valid drivers license.

Qualifications

  • Demonstrated expertise in drafting and negotiating various contracts and agreements.
  • Strong entrepreneurial mindset with the ability to approach legal issues from a business perspective.
  • Exceptional research analytical and problemsolving skills.
  • Outstanding written and verbal communication abilities.
  • Proficiency in managing competing priorities and working independently.

    Ability to work effectively with large working groups as part of a transaction team.
