We are seeking a seasoned and highly motivated Business and Transactions Attorney to join our Omaha office and overall practice area team. The ideal candidate will demonstrate an entrepreneurial spirit a curious and inquisitive mindset and exceptional attention to detail. This role involves providing strategic legal counsel to clients across a broad spectrum of industries related to business matters including risk management contract review governance mergers and acquisitions entity formation and compliance.
Key Responsibilities
- Collaborate with clients to develop tailored legal strategies aligned with their business goals and needs through riskbased analysis and assessments.
- Research and interpret applicable laws regulations and industry standards to ensure client compliance.
- Draft review and negotiate a variety of agreements (such as contracts with customers vendors and other third parties) operating agreements ownership and equity agreements and employment agreements.
- Advise clients on a range of corporate legal matters including entity selection and formation corporate governance and compliance.
- Provide strategic legal guidance during mergers acquisitions divestitures and other transactions.
- Manage multiple client matters simultaneously while maintaining highquality service and meeting deadlines.
- Supervise paralegals staff and team members as required
- Active in business development including involvement in professional organizations.
- Other duties as assigned.
Experience
- Minimum of 5 years of relevant inhouse and/or law firm experience as a business and transactional attorney 10 years experience preferred
License(s)/Certification(s)
- Must be currently licensed in Nebraska or eligible to become licensed.
- Other state licenses (especially in states within our footprint) while not required will be considered.
- Valid drivers license.
