Job Description

ABOUT THE TEAM

The Rubrik corporate legal team is looking for an energetic and talented corporate attorney with a passion for working on corporate securities transactions and compliance matters and driving business in a fastpaced inhouse environment. This position reports to Rubriks Director Corporate Legal and is located in Rubriks HQ (Palo Alto). Rubrik has a hybrid remote work policy and requires 3 days in the office for nonremote employees.

What youll do:

  • Prepare and review SEC filings such as Forms 10K 10Q 8K proxy statements registration statements and Section 16 reporting including Forms 3 4 and 5.
  • Advise on compliance with public company rules and regulations including the Securities Act of 1933 the Securities Exchange Act of 1934 stock exchange listing standards and Delaware law.
  • Assist with corporate governance matters including board and committee materials and meetings and governance for Rubriks international subsidiaries.
  • Review earningsrelated materials such as shareholder letters scripts presentations and other corporate communications.
  • Provide legal support for executive compensation matters equity plans and equity administration.
  • Offer legal support for corporate transactions such as M&A and capital markets transactions including financings restructurings credit facilities stock repurchases and debt offerings.
  • Support the enhancement and maintenance of corporate and compliance policies processes and training programs with scalable frameworks and legal technology.
  • Develop strong relationships with crossfunctional teams including finance accounting investor relations communications and human resources.
  • Work efficiently with outside counsel as required.
  • Support special corporate and compliance projects as needed.

Experience youll need:

  • Postgraduate legal degree
  • 3 years of corporate legal experience at a top law firm or inhouse with inhouse experience or supporting inhouse clients strongly preferred
  • Comfort and familiarity working with business and other nonlegal stakeholders including finance accounting HR and equity teams
  • Unquestioned legal professionalism and integrity
  • Demonstrated experience as a selfdriven attorney who can work independently with excellent business judgment and strategic thinking
  • Receptive to coaching and feedback
  • Ability to prioritize and manage business expectations in a fastpaced environment

The minimum and maximum base salaries for this role are posted below; additionally the role is eligible for bonus potential equity and benefits. The range displayed reflects the minimum and maximum target for new hire salaries for the role based on U.S. location. Within the range the salary offered will be determined by work location and additional factors including jobrelated skills experience and relevant education or training.
US Pay Range
$133200$199800 USD
