Main Purpose of Job
To review business entity documents for legal sufficiency and decide whether to accept or reject them as required for filing with this Department. To respond to inquiries from the general public officers directors attorneys and other business entity representatives as well as representatives from other government agencies. These inquiries may concern the creation termination and status of various business entities; the protection of security interests and the collection of fees and taxes through Uniform Commercial Code Filings; the status of documents filed with this Department; assistance in serving legal process on business entities; and ground rent filings.
POSITION DUTIES
The incumbent reviews business entity documents for legal sufficiency in accordance with Maryland laws and regulations accepting or rejecting filings and providing detailed instructions for correction of deficiencies online by paper and at the public service counter. The types of entities whose documents are reviewed include corporations limited partnerships limited liability companies limited liability partnerships limited liability limited partnerships and Real Estate Investment Trusts. Additionally Charter Specialists review Ground Rent Registrations and Redemptions Assignments of Security Interests Releases of Security Interests and Terminations of Security Interests with some documents precleared for filing. The incumbent also advises counsels officers directors attorneys and representatives of business entities on the procedures to maintain good standing with the State of Maryland or complete transactions such as filing annual reports.
As an expert in the functions of the Department communicates on a daily basis with the general public members of the bar the courts and other government agencies to inform instruct and advises them with respect thereto. These communications occur via mail in person telephonically and via email.
Incumbent problemsolves on difficult filings and transactions. Incumbent makes appropriate referrals to other agencies or resources for those requesting further information on starting and operating a business. Generally performs special assignments and project or anticipated activities. Performs other duties as assigned.
The incumbent directs departmental staff in the daily processing of documents and related forms filed with the Department ensuring proper preparation of correspondence that explains advises or instructs individuals submitting such documents or forms. They also provide technical assistance on legal issues to employees of other departments within the Business and Finance Division. Additionally the incumbent continually researches and interprets Maryland statutes case law and regulations to maintain a high level of expertise and competence in areas under the Departments responsibility.
MINIMUM QUALIFICATIONS
Education: Possession of a Juris Doctor degree or equivalent degree from an accredited law school.
Experience: None
Note: Applicants may substitute experience in examining or processing articles of incorporation or other corporate documents for compliance with State or federal corporation laws on a yearforyear basis for the required education.
DESIRED OR PREFERRED QUALIFICATIONS
Experience in examining or processing articles of incorporation or other corporate documents.
Knowledge of State or federal corporation laws.
Experience in communication and customer service skills.
LIMITATIONS ON SELECTION
Candidate must be willing to work in Baltimore City.
