JOB SUMMARY
Jabil Inc. an S&P 500 global manufacturer is seeking an experienced M&A attorney to join the legal team. The lawyer in this role will be involved in all aspects of Jabils M&A activity from concept structure and strategy to closing. We are looking for a candidate who is innovative handson and enjoys a busy work environment. We will ask you to develop solutions to difficult questions daily.
ESSENTIAL DUTIES AND RESPONSIBILITIES
This attorney will:
- Draft and review deal documents for all phases of M&A transactions including confidentiality agreements letters of intent asset and stock purchase agreements merger agreements disclosure schedules and ancillary agreements such as transition services agreements.
- Serve as legal advisor on a variety of M&A matters and help stakeholders to progress all workstreams including without limitation due diligence structure analysis and drafting and integration.
- Identify risks and develop risk mitigation strategies in partnership with the M&A team and other Legal team members.
- Collaborate crossfunctionally (Accounting Tax Treasury and business units) and within the Legal Department to achieve desired results on tight timelines and with imperfect information.
- Engage with stakeholders across the globe to drive businessoriented solutions to complex issues arising in the context of M&A initiatives.
- Build processes that address risk and also provide us with flexibility to move quickly.
JOB QUALIFICATIONS
KNOWLEDGE REQUIREMENTS
Good oral and written communication good judgement strong interpersonal skills demonstrated ability to work in a changing fast paced and energetic environment.
Strong work ethic ability to partner with colleagues and resolve conflict business acumen with practical approach to problem solving ability to prioritize and manage competing demands.
EDUCATION & EXPERIENCE REQUIREMENTS
Juris Doctor degree and member of a bar in good standing eligible to practice law in jurisdiction.
Minimum of 6 years legal experience preferably in a national law firm or public company.
