Position Summary:
Greenberg Traurigs Securities and Capital Markets Group is seeking a Junior to MidLevel Associate to advise our growing base of public company clients as a member of our Public Company Advisory team. This is an exciting opportunity to work on a wide range of matters related to disclosure obligations under federal securities laws compliance with listing standards interactions with the SEC and corporate governance needs. The ideal candidate will have at least two to five years of experience in public company advisory work including drafting and reviewing Exchange Act filings as well as advising clients on various securities law matters. This is a fulltime position based in our Fort Lauderdale FL office.
What Your Day May Look Like:
Advise public company clients on their daytoday disclosure obligations under federal securities laws.
Assist clients in complying with applicable listing standards of major U.S. exchanges.
Support clients in their interactions with the SEC including preparation of filings and other communications.
Draft and review Exchange Act filings such as Forms 10K 10Q 8K and proxy statements.
Provide advice on executive and director compensation and related disclosures.
Work on capital markets transactions including primary and secondary equity offerings highyield debt offerings and M&A transactions.
Collaborate with the team on joint ventures capital markets offerings and other transactions.
Stay informed on developments in securities laws corporate governance and executive compensation advising clients on strategic trends.
Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance.
Qualifications:
JD from an ABAaccredited law school.
At least 25 years of experience in public company advisory work.
Experience with drafting and reviewing Exchange Act filings (Forms 10K 10Q 8K and proxy statements).
Strong familiarity with listing standards of major U.S. exchanges.
Understanding of executive and director compensation and related disclosures.
Experience in offering work such as equity offerings highyield debt offerings and M&A is a plus.
Strong communication and client management skills.
Ability to work collaboratively in a team environment and across various industries.

We work with clients of various market capitalizations ranging from Fortune 500 companies to newlypublic emerging growth companies and smaller reporting companies. Our team helps clients navigate critical times in their life cycles advising on a broad range of U.S. securities laws capital raising transactions SEC noaction letters ongoing reporting requirements and shareholder engagement.
We provide comprehensive advice on corporate governance securities laws and executive compensation and keep our clients informed of recent developments and strategic trends in these areas.
