Responsibilities:
Legal and Regulatory Compliance:
Monitor and ensure compliance with relevant laws regulations and guidelines applicable to NBFCs and listed companies.
File necessary forms returns and reports with regulatory authorities on time.
Stay updated with changes in relevant laws and regulations and implement necessary changes to ensure compliance.
Corporate Governance:
Provide expert guidance to the board of directors on corporate governance matters.
Organize and manage board meetings including preparing agendas minutes and resolutions.
Assist in the establishment and maintenance of corporate governance policies and practices.
Secretarial Functions:
Maintain statutory registers and records as required by law.
Prepare and file annual reports financial statements and other required documents with regulatory authorities.
Handle all matters related to the appointment and resignation of directors and other key personnel.
Investor Relations:
Liaise with shareholders and handle their queries and concerns.
Assist in organizing annual general meetings and other investorrelated events.
Compliance Monitoring and Reporting:
Conduct internal compliance audits to ensure adherence to company policies and procedures.
Prepare and present compliance reports to senior management and the board.
Risk Management:
Collaborate with the risk management team to identify potential risks and ensure proper risk mitigation measures are in place.
Advise on riskrelated matters about financial services operations.
Advisory Services:
Offer expert advice to the management on legal and regulatory implications of business decisions.
Assess the impact of new regulations and advise on the necessary actions to be taken.
