Job Summary
Responsibilities
- Draft and update governance policies tailored to client needs and advise client boards on corporate governance compliance and best practices.
- Support directors in fulfilling fiduciary duties and advise directors on their responsibilities as directors.
- Ensure that board procedures are followed and regularly reviewed and assist the Board to comply with the companys constitution and all relevant enactments.
- Ensure that Board and Committees are well balanced with the balance of skills experience and knowledge and in compliance with the Companies Act 2019 (Act 992) and in compliance with regulatory requirements where necessary.
- Advise the Board Committees and senior management on governance requirements.
- Facilitate Board induction programmes and training and support the Boards annual evaluation exercise.
- Maintain the statutory registers of the company and prepare and file statutory returns and relevant documents at the Office of the Registrar of Companies.
- Provide the Board with guidance as to the duties responsibilities and powers of the Board and on the changes and developments in the laws affecting the operation of companies.
- Inform the Board of legislation relevant to or affecting meetings of shareholders and directors and their failure to comply with the legislation and report accordingly at any meeting.
- Coordinate and support the Board Committees and Annual General Meetings to ensure that the minutes of the meetings of the shareholders and the directors are properly recorded and stored.
- Support incorporations mergers acquisitions restructurings and dissolutions.
- Draft resolutions agreements and compliance documentation.
- Liaise register companies and renew licenses and permits with regulatory bodies such as the Office of the Registrar of Companies Registrar Generals Department Securities and Exchange Commission Ghana Investment Promotion Centre (Authority) and Ghana Immigration Centre.
- Act as the primary point of contact for client directors and shareholders.
- Assist in identifying new business opportunities and developing and maintaining long-term professional relationships through trust preparing business proposals and engaging clients.
- Manage administrative functions including procurement of office supplies and oversight of petty cash.
- Perform other responsibilities that may be assigned.
- Must have a Bachelors degree in Law or Business (LLB LLM MBA) or a similar field.
- Must have a minimum of four (4) years of work experience in the same or similar role.
- Proven experience in corporate governance compliance and company secretarial practice.
- A Professional Certification (ICSA/Chartered Secretary Qualification) is an added advantage.
- Must have strong knowledge of company law corporate governance and compliance frameworks.
- Ability to manage multiple client portfolios with efficiency and discretion.
- Possess strong coordination note-taking and time management skills.
- Possess advisory skills for board-level interaction.
- Possess excellent communication (verbal and written) negotiation and persuasion skills.
- Ability to work independently pay attention to detail and meet timelines.
- Ability to work occasional weekends based on operational requirements.
Required Skills:
Must have at least a Bachelors degree in Human Resources Business Administration or a related field. Must have at least five (5) years experience in HR leadership roles with exposure to operations management. Experience working in a Pan-African or multinational organisation is strongly preferred. Demonstrated experience building and managing high-performance workplace cultures. Possess excellent leadership interpersonal and conflict resolution skills. Ability to work independently meet deadlines and exceed targets. Proficient in using Microsoft Office Suite (Word Excel and PowerPoint) and Google Workspace. Possess a high level of professionalism organisation and time management skills. Possess excellent communication (written and verbal) and the ability to manage diverse teams. Possess the ability to learn quickly adapt and implement innovative HR practices. Strong experience using social media platforms for recruitment and employer branding. Ability to work occasionally work some weekends.
