PURPOSE

The Senior Manager Corporate Consolidation & Transaction Finance is responsible for supporting the Groups financial consolidation external reporting and transaction-related accounting activities.

The role combines strong technical accounting expertise with M&A finance capabilities including financial due diligence support purchase price allocation (PPA) integration accounting and capital structure analysis.

The position plays a key role in ensuring the integrity of SITAs consolidated financial statements supporting growth initiatives through acquisitions and providing technical expertise on corporate finance matters including dividend distributions equity requirements legal entity capital structures and financing transactions.

Reporting to the Director Corporate Control the role will work closely with Treasury Corporate Finance FP&A Legal Tax External Auditors and Strategy teams.

KEY RESPONSIBILITIES

Financial Consolidation & External Reporting

Manage and execute the monthly quarterly and annual group consolidation process.

Ensure compliance with IFRS and Group accounting policies.

Review and validate consolidation journals intercompany eliminations foreign exchange impacts and equity accounting.

Support preparation of statutory consolidated financial statements and board reporting.

Act as a subject matter expert on complex accounting matters affecting group reporting.

Support external audit activities and technical accounting discussions.

M&A Accounting & Due Diligence

Support financial due diligence processes for acquisitions divestitures and strategic investments.

Analyse target company financial statements working capital positions accounting policies and financial risks.

Assess accounting implications of proposed transactions under IFRS.

Coordinate finance workstreams during transaction execution.

Support post-acquisition integration activities from an accounting and reporting perspective.

Purchase Price Allocation (PPA) & Technical Accounting

Lead or support Purchase Price Allocation exercises under IFRS 3.

Collaborate with valuation specialists to determine fair values of acquired assets and liabilities.

Review business plans valuation models discount rates and key assumptions.

Prepare acquisition accounting documentation for auditors and management.

Monitor subsequent accounting impacts relating to goodwill intangible assets and impairment testing.

Corporate Finance & Capital Structure Support

Support analyses related to dividend distributions and shareholder funding structures.

Assess legal entity capitalisation and minimum equity requirements across jurisdictions.

Contribute to financing projects refinancing activities and corporate restructuring initiatives.

Support assessment of capital structures leverage impacts and accounting treatment of financing transactions.

Provide financial analysis supporting board and shareholder decision making.

Corporate Projects & Finance Transformation

Participate in finance transformation initiatives including consolidation systems and process improvements.

Drive automation standardisation and efficiency across corporate reporting activities.

Support the implementation of new accounting standards and regulatory requirements.

Contribute to special projects involving acquisitions legal entity reorganisation and strategic initiatives.

Qualifications External

Education:

Masters degree in Finance Accounting Economics or Business Administration.

Professional qualification preferred (CPA ACCA ACA CA Expert-Comptable or equivalent).

Experience:

8-12 years of relevant experience in:

  • o Group consolidation and external reporting.
  • o Big 4 audit or transaction services.
  • o Corporate finance and M&A accounting.
  • o IFRS technical accounting.

Demonstrated experience supporting acquisitions and integration projects.

Hands-on experience with Purchase Price Allocation exercises.

Experience working in an international and multi-currency environment.

Technical Skills:

Strong knowledge of IFRS particularly:

o IFRS 3 Business Combinations.

o IAS 36 Impairment.

o IAS 21 Foreign Currency.

o IAS 28 Investments in Associates.

o IFRS 10 Consolidation.

Strong understanding of:

o Financial due diligence.

o Valuation concepts.

o Enterprise value and equity value bridges.

o Working capital mechanisms.

o Debt and equity instruments.

o Dividend distribution and capital maintenance rules.

Experience with consolidation systems (OneStream strongly preferred).

Competencies:

Strong analytical and problem-solving skills.

Ability to challenge assumptions and identify financial risks.

Ability to communicate complex accounting topics to senior management.

Strong project management skills.

High level of judgement and professional integrity.

Comfortable operating in a dynamic M&A and transformation environment.
