Role Description:

This Legal Analyst position is based in San Ramon, CA and is part of the Downstream, Chemicals and Midstream Law Function.
The successful candidate will primarily provide commercial, business, and transactional legal support for the Americas Fuels and Lubricants (AF&L) organization operating in the U.S.

The successful candidate must be able to perform delegated paralegal tasks under the guidance and direction of attorneys, including, but not limited to, assist with the following:
  • Structure, negotiate, and draft contracts related to AF&L's renewable fuels business; update governance documents for renewable joint ventures (JV) and provide other JV support; and manage SharePoint database to optimize organizational capability for the renewables legal team.
  • Draft and/or review a variety of real property documents including purchase and sale agreements, leases, title documents, purchase options, rights of first refusals and other similar agreements
  • Prepare and/or review a variety of branded supply and marketer agreements and related commercial agreements associated with branded retail outlets
  • Prepare and help negotiate a variety of agreements including sales, procurement, and non-disclosure agreements, and contract amendments
  • Engage and provide recommendations (risk analysis) to business partners and attorneys on counterparty's changes in agreements
  • Work closely with subject matter experts in tax, finance, intellectual property, information risk management, compliance, and insurance to integrate such guidance into commercial negotiations and agreements
  • Analyze and summarize documents for review by business partners and attorneys
  • Perform legal due diligence and legal research
  • Multi-task and prioritize work assignments to consistently provide high-quality work product in a fast-paced work environment
  • Work closely with business partners and attorneys to resolve a variety of day-to-day issues and support a broad range of commercial transactions and/or projects
  • Recommend process improvements and simplification of tasks
  • Communicate clearly, simply and directly
Required Qualifications:
  • Bachelor's degree
  • Minimum of four years' experience as a paralegal or legal analyst negotiating and drafting real property agreements
  • Ability to effectively analyze and communicate legal issues across broad functional and organizational lines (e.g. business partners, and attorneys)
  • Ability to maintain high quality performance with varied deadlines and competing priorities in a fast-paced work environment
  • Strong organizational, analytical, proofreading, editing, and research skills
  • Strong communications skills (both oral and written) and interpersonal skills
  • Self-starter who is adept at working in a true team environment and partnering with management, business partners, in-house counsel, outside counsel, and staff
  • Proficiency in the Microsoft Office suite of tools
Preferred Qualifications:
  • Paralegal certificate from an ABA-approved program or a law degree from an ABA-accredited school
  • Education:
  • Bachelor's degree
