About Allogene:
Allogene Therapeutics with headquarters in South San Francisco is a clinical-stage biotechnology company pioneering the development of allogeneic chimeric antigen receptor T cell (AlloCAR T) products for cancer and autoimmune disease. Led by a management team with significant experience in cell therapy Allogene is developing a pipeline of off-the-shelf CAR T cell product candidates with the goal of delivering readily available cell therapy on-demand more reliably and at greater scale to more patients.
About the role:
Reporting to the General Counsel the Senior Counsel Corporate Securities & Transactions will work closely with the General Counsel on Allogenes public company corporate legal function including SEC reporting corporate governance Board and committee matters proxy and annual meeting processes Section 16 reporting and related disclosure and compliance matters. The role will also support strategic transactions business development activities M&A licensing and collaboration matters and the drafting and negotiation of corporate and commercial agreements. This position is hybrid and based at Allogenes headquarters in South San Francisco CA.
Responsibilities include but are not limited to:
- Work closely with the General Counsel to draft review and coordinate SEC filings including Forms 10-K 10-Q 8-K proxy statements Section 16 filings and other public company disclosures.
- Advise on corporate governance matters including Board and committee materials governance policies Nasdaq compliance Delaware corporate law matters director and officer questionnaires insider trading policies Regulation FD and public company best practices.
- Support Board and committee processes including preparation and review of meeting materials resolutions minutes consents and related governance documentation.
- Support the Companys annual meeting and proxy season process including proxy statement preparation shareholder meeting logistics and related governance matters.
- Partner with Finance Investor Relations People/HR Stock Administration and outside advisors on disclosure equity compensation executive compensation and public company compliance matters.
- Draft review and negotiate agreements related to strategic partnerships business development licensing collaborations M&A confidentiality services and other corporate or commercial matters.
- Support legal aspects of strategic transactions including due diligence transaction documentation internal approvals and post-signing implementation.
- Help manage outside counsel in areas of responsibility.
- Provide practical business-oriented legal advice to cross-functional teams in a fast-paced public company biotechnology environment.
- Other duties as assigned.
Position Requirements & Experience:
- J.D. from an accredited law school and membership in good standing in at least one U.S. state bar. California bar admission or eligibility to register as California in-house counsel required.
- At least 8 years of relevant corporate/securities experience preferably including significant experience at a nationally recognized law firm and/or in-house public company legal department.
- Significant experience advising public companies on SEC reporting corporate governance proxy statements annual meetings Section 16 reporting and related disclosure matters.
- Experience with Board and committee support corporate governance policies Nasdaq/listing requirements Delaware corporate law insider trading policies and Regulation FD.
- Experience drafting and negotiating corporate or commercial agreements; experience with strategic partnerships licensing collaborations M&A or other business development transactions strongly preferred.
- Life sciences biotechnology or pharmaceutical industry experience preferred.
- Ability to work closely with senior executives and Board members exercise sound judgment and provide practical business-oriented legal advice.
- Excellent drafting analytical project management and communication skills.
- Ability to work independently while collaborating closely with the General Counsel and cross-functional teams.

The expected salary range for this role is $250000 to $280000 per year. Actual pay will be determined based on experience qualifications geographic location business needs and other job-related factors permitted by law.
