Triple Jump a Dutch impact investment manager with a global portfolio is looking for a:

Legal Officer

32-40 hours per week initially for one year based in Tbilisi Georgia or Lima Peru.

Expectations

As Legal Officer you will be responsible for the legal aspects of investment contracting and the disbursement process. You will assist our commercial team and be the focal point within the organisation for general legal advice as well as advice related to debt investments. You will follow-up on requests from clients regarding legal issues and addition you will fulfil a compliance role ensuring that supporting procedures are set-up and implemented correctly.

Job description
As Legal Officer you will join the Legal team that currently consists of 6 other members. As Legal Officer you will be responsible for the legal investment and divestment processes relating to the investments Triple Jump makes for the funds and mandates it manages primarily for Triple Jumps debt mandates but also able to work on equity or fund of funds deal. The work entails the preparation review and negotiation of the transaction documentation of primarily debt investments and to a lesser degree also direct equity and various private equity funds. It includes the coordination of external legal counsel and collaboration with counsel of co-investors in joint fund transactions. It will be your responsibility to perform a broad variety of tasks such as:

• Drafting reviewing and processing legal documents such as:
  * NDAs waivers no action letters and other agreements
  * Loan Agreements as well as amendments to existing loan agreements and corresponding administration;
  * Restructuring agreements Stand-still agreements and ancillary documentation

*Shareholders agreements subscription agreements term-sheets share purchase agreements

• Responsibility over legal processes:
  * Handling correspondence with external parties coordination of legalization requests;

• Providing general legal support to the organization with respect to
  * Fund and mandate structuring;
  * Completion of KYC requests from third parties (e.g. investors/investees).

• Bachelor legal degree or higher;

• A European law degree or a common law jurisdiction preferred;

• Fluent in English. Knowledge of Spanish French or Dutch is an asset;

• Relevant legal experience preferably in the financial sector;

• Experience (> 3 years) in reviewing negotiating and managing debt transactions preferred;

• Experience with restructurings and problem loans preferred;

• Fund of funds or equity experience is a plus;

• Awareness of developments in the legal and regulatory environment;

• Ability to attend meetings and lead negotiations outside of standard local business hours to align with our global partners;

• Ability to set priorities;

• An eye for detail quick learner self-starter good multi-tasker;

• Hands-on; Pro-active; feels comfortable to take ownership;

• The ability to create and uphold order and structure within assigned tasks;

• Experience managing external counsel;

• Capable of independent decision-making;

• Good negotiation skills;

• Culturally sensitive and a team player.
