Job Summary

Our client is a leading investment bank providing top-tier strategic and financial guidance to senior management and boards of established companies. The firm specializes in Consumer Tech and Commerce Tech M&A typically representing founder-led VC-backed companies ($50M$1B EV) in their sale to publicly traded strategic acquirers. Our clients mission is to empower companies to navigate and capitalize on the changing technological and commercial landscape bringing together a vast network of relationships industry knowledge and transaction expertise to deliver independent high-value advice that aligns with the best interests of their clients.

Our client is looking for an experienced Analyst 2/3 to join the team based in SF. Our client will not consider H1B STEM-OPT or other visa sponsorship at this time.

Analysts are expected to assume significant levels of responsibility requiring intellectual curiosity motivation and analytical aptitude. Day-to-day responsibilities include financial analysis and modeling company and industry research preparing client presentations and interacting with senior bankers and clients.

Primary Responsibilities:

Support senior bankers in origination activities including preparing historical and projected financial statements analyzing the financial implications of mergers and acquisitions and conducting public & private valuation analysis

Participate in execution activities including data gathering analysis and material preparation as well as managing standard deal processes such as preparing deal documentation managing data rooms and coordinating buyer diligence

Build and apply valuation models based on financial research and analysis including comparable company analysis discounted cash flow analysis precedent transaction analysis and accretion/dilution analysis relevant to public company acquirers

Prepare pitch books management presentations and other marketing materials to support business development and live deal processes

Prepare analytical materials to support credit compliance engagement committee and balance sheet approvals

Conduct industry research competitive landscape analysis and company-specific deep dives to support both origination and execution

Conduct corporate operations reviews portfolio analytics and risk/return valuations including assessment of customer concentration and key person risk

Gather and process market share data shareholder profiles and public company buyer universe analysis including familiarity with VC cap tables and liquidation preference structures

Required Skills & Experience:

Results-driven with the ability to perform well under pressure and against tight deadlines

Strong analytical and numerical skills with comfort working across complex financial data

Ability to build and maintain detailed financial models independently with minimal supervision

Experience preparing client-ready presentations and marketing materials

Proven team player who can effectively collaborate with a wide range of internal teams and clients

Strong multi-tasking and prioritization skills

Proficiency in Microsoft Office suite (Excel required) and financial reporting

Familiarity with deal structuring considerations common in founder-led transactions such as earnouts and rollover equity is a plus

Education:

Undergraduate degree; focus in finance business accounting economics or mathematics preferred

1 years of prior investment banking experience at a middle-market bulge bracket or elite boutique; prior exposure to sell-side M&A preferred

Expected Salary Range: USD $120000 $140000
