Position: Legal Expert Transactional / Corporate (Remote Hourly)
Type: Contract
Compensation: $85$120/hour
Location: Remote
Commitment: 2040 hours/week

Role Responsibilities

• Design realistic deal scenarios from transactional practice such as M&A due diligence SPAs/APAs and securities filings.
• Write golden reference responses at attorney-level quality.
• Grade AI-generated responses using structured rubrics.
• Provide written feedback to improve model behavior.
• Participate in onboarding office hours and specialty calibration sessions.

Qualifications

Must-Have

• 14 years of professional experience in transactional or corporate law.
• J.D. (U.S./Canada) or LL.B./LL.M. (U.K.) from an accredited law school.
• Licensed to practice law in the U.S. Canada or U.K. (active or inactive).
• Strong experience in contract review due diligence corporate governance NDA drafting or securities filings.
• Excellent written communication skills with high attention to detail.

Preferred

• Experience with disclosure schedules or closing checklists.
• Exposure to private equity venture capital or fund formation.
• Experience with SEC reporting or securities offerings.
• Familiarity with virtual data rooms like Intralinks or Datasite.
