M&A (Private Equity) Senior Associate or Of Counsel
About the Role:
A leading international law firm is seeking a Senior Associate or Of Counsel to join its Private Equity practice in this role you will work closely with private equity sponsors and their portfolio companies on sophisticated high-value transactions and ongoing corporate matters.
You will take a lead role in structuring negotiating and executing complex deals while acting as a trusted advisor to clients. This position offers significant client exposure responsibility and the opportunity to contribute strategically to transactions from inception through closing.
Key Responsibilities:
Advise private equity firms and portfolio companies on a wide range of transactions including equity investments co-investments and general corporate matters
Draft and negotiate key transaction documents including:
Limited liability company agreements
Limited partnership agreements
Shareholder and investor rights agreements
Ancillary deal documentation
Support day-to-day legal needs of private equity funds and portfolio companies
Structure and advise on management equity and incentive arrangements
Collaborate on mergers and acquisitions and broader transactional matters
Required Qualifications:
JD from an ABA-accredited law school with strong academic credentials
Minimum 5 years of relevant private equity experience
Proven experience handling complex transactions for private equity clients
Admission to the Texas Bar or ability to obtain admission
Excellent drafting negotiation and communication skills
Preferred Experience:
Familiarity with private equity fund structures and documentation
Exposure to mergers and acquisitions transactions
Experience advising on incentive equity arrangementssupportive environment
