About the Role
Fieldguide is an AI-native platform built for audit advisory and assurance workflows. Our customers are sophisticated audit and accounting firms operating in highly regulated environments where data confidentiality professional liability and regulatory exposure are central to how they evaluate every vendor. We are at a Series C inflection pointgrowing revenue headcount and commercial complexity simultaneouslyand hiring our first in-house Senior Counsel to own the legal function end-to-end.
This is a lean high-leverage individual contributor role. You will own commercial paper from negotiation through execution build the legal infrastructure the company does not yet have and serve as a real-time advisor to the GTM People and Finance teams. Specialized mattersIP litigation securities M&Awill remain with retained outside counsel. You own everything commercial and you manage the outside counsel relationship. The right person is commercially oriented technically fluent in AI and SaaS contracts and genuinely excited to build rather than inherit. This role is built for a legal professional who wants to own outcomes not just advise on them.
What Youll Do
Own negotiation and execution of all commercial agreementsMSAs SaaS subscription agreements DPAs BAAs and NDAswith Fieldguides enterprise accounting firm customers; define a risk tiering framework that calibrates review to deal size and complexity; be a deal enabler for the GTM team not a bottleneck
Build and maintain a contract playbook with tiered positions by clause type and a standard paper library so nothing starts from scratch; leverage AI / Agentic solutions to scale legal operations build institutional memory that compounds in value over time
Own AI and data licensing negotiations such as data use rights model risk provisions output ownership IP indemnification and maintain Fieldguides AI commercial policy framework and open source compliance program
Review and maintain employment agreements contractor agreements and offer letters; advise People team on multi-state and international compliance
Serve as the companys primary legal liaison to the board on corporate governance matters including board documentation equity records and corporate filings in coordination with Finance
Who You Are
J.D. from an accredited law school; active bar admission in good standing
8-10 years of legal experience including 3-4 years at a law firm working across many client types and deal structures followed by 5-6 years in-house at a B2B SaaS company preferably at Series B-D
Deep fluency in commercial SaaS contracts (MSAs DPAs BAAs SLAs) with substantive AI and data licensing experience: you have negotiated AI vendor agreements advised on model and IP risk and understand the underlying technology well enough to negotiate it not just the legal wrapper
Demonstrated data privacy experience with GDPR CCPA and SOC 2 legal obligations; credible in DPA negotiations with enterprise customers
Track record of building legal infrastructure from scratch: contract templates playbooks and CLM implementations or compliance programs that created institutional memory and reduced cycle time
Comfortable operating as the only lawyer in the buildingapproaches legal risk as a trade-off problem not a binary; delivers practical business-oriented guidance under time pressure
Experience at a B2B SaaS company serving professional services fintech or regulated industries is a plus; familiarity with agentic AI or AI infrastructure agreements is a meaningful advantage
