Job Summary

TYLin is seeking a VP Deputy General Counsel Major Projects to help shape the future of infrastructure delivery negotiating and structuring deals for some of the most complex high-value infrastructure projects in North America and globally.

This is a high-impact leadership role reporting directly to the General Counsel who heads the legal compliance and risk (LCR) function. This role will partner with business leaders dedicated alternative delivery teams and pursuit teams to enable smart risk-aware growth across our most strategic opportunities such as Public-Private Partnerships (P3) Design-Build (DB) Progressive Design-Build (PDB) other integrated project delivery models and cross-border projects utilizing our global resources and network. The initial focus of this role will be on projects in the North America region which is our largest business region.

Key Responsibilities

  • Leadhigh-stakesnegotiations for complex and/oralternative delivery project contracts(DB PDB DBFOM PPP IPDandcollaborative contracting models)focusing initially onprojectslocatedin our largest regionNorth America.

  • Partners with company leaders pursuit teamsandjoint venture partners to structurealternative deliverydealsaligned with our commercialand risk appetitethat win and perform.

  • Provideend-to-endlegal guidancefor thefullprojectpursuit lifecyclefrom bid/no-bid decisions to teaming agreements proposals interviews contract finalization project delivery and claims resolution.

  • Support claimsavoidancemitigationand resolution strategiesfor complex projects working collaboratively with project teamsexternal counsel and other members of theCompanysglobal Legal Compliance and Risk(LCR)teamas needed.

  • Develop andmaintaincontract templates negotiation playbooks and best-practice guidance documentsfor complex project contractsto streamline project delivery across business lines and regions.

  • Partner with General Counselto define our contract negotiating strategy for complex contracts and major projectsrepresentingsome of the highest risk and highest rewardprojectopportunities.

  • Shapes and advances enterprise governance and risk culture for complex projects.

  • Works collaborative with and provides thought leadership and mentorship to regional attorneysofthe Company working on complex contracts and alternative delivery projects.Build lead and mentor a dedicated legal team specializing incomplex projectsover time.

  • Monitor emerging legal regulatory and industry trends relevant to collaborative and alternative project delivery models; update stakeholders and influence strategy accordingly.

  • Represent the legal function in client-facing settings strategic partnerships and industry events strengthening TYLins leadership profile in the alternative delivery space.

  • Collaborate with global legal risk and compliance teammembersto ensure consistency in contracting practices and enterprise-wide risk governance.

Qualifications

  • Juris Doctor (JD) or Bachelor of Laws (LLB); active bar membership in a U.S. State or Canadian Province.

  • Minimum of 15years legal experience with a strong focus on major infrastructure or capital project delivery including at least7years supporting alternative delivery methods.

  • Demonstratedexpertisein negotiating drafting and advising on complexcontracts for projects in North America using alternative or complex delivery methodssuch as P3 DB DBFOMjoint venture and concession arrangement.Expertisein cross-border contracting is highly desirable.

  • In-depth understanding of risk allocation bonding/insurance structures performance security and subcontractor relationships under various delivery models.

  • Business-oriented legal mindset with the ability to balance commercialopportunityand contractual risk.

  • Exceptional communication skills and the ability tolead throughinfluence and support senior executives technical leaders and external partners.

  • Experience coordinating or managing outside counsel.

  • Ability to work cross-functionally in a fast-paced matrixed and collaborative global environment.

  • Willingness to travel domestically and internationally as.
