Senior Paralegal – Corporate Services

The firm is currently seeking a Senior Corporate Services Paralegal to join its Corporate Services team in Vancouver. Reporting to the Manager of Corporate Services this role requires an experienced and proactive professional who can provide efficient accurate and timely support to lawyers and clients on complex corporate matters.
Key Responsibilities
- Meet with responsible lawyers to review determine and confirm transactional requirements and allocate work across the team accordingly
- Provide guidance and practical advice to lawyers regarding the Business Corporations Act (British Columbia) and the Canada Business Corporations Act
- Stay current on legislative updates and regulatory amendments
- Take initiative in leading and managing corporate transactions
- Prepare documentation for BC and federal corporations including incorporations and organizations continuations (importing and exporting) amalgamations dissolutions reorganizations restorations and special rights and restrictions attached to shares
- Prepare BC transparency registers and federal individual significant control (ISC) registers
- Draft legal documents relating to complex corporate transactions including section 85 rollovers section 86 share exchanges and private mergers and acquisitions
- Prepare partnerships limited partnerships business name registrations and extraprovincial registrations across Canada
- Handle voluntary dissolutions and corporate windups
- Conduct minute book reviews and prepare corrective documentation
- Prepare resolutions and filings for changes to registered and records offices name changes share capital amendments share issuances and transfers and the appointment or removal of directors and officers
- Attend to filings with the BC Registrar of Companies and Corporations Canada
- Liaise with corporate services professionals in other firm offices across Canada
- Provide mentorship guidance and training to junior team members
- Offer additional support to the broader corporate team as required
Required Qualifications and Skills
- Graduate of a recognized paralegal program with approximately 10 years of law firm or related experience
- Strong working knowledge of ALF BC Online and Corporations Canada
- Advanced proficiency in MS Word
- Excellent organizational skills with a high level of attention to detail and accuracy
- Ability to manage multiple priorities and perform effectively under tight deadlines
- Strong written and verbal communication skills with the ability to collaborate confidently with lawyers and colleagues
- Ability to work both independently and as part of a team
- Professional reliable selfmotivated and proactive
Compensation & Benefits
- Anticipated salary range: $90000$120000 depending on experience and qualifications
